AUDIOVISUAL PRODUCTION CONTRACT

This Audiovisual Production Contract (the "Agreement") is entered into as of by and between Producer Name: with principal place of business at ("Producer"), and Client Name: with principal place of business at ("Client").

RECITALS

WHEREAS, Producer is engaged in the business of creating, producing and delivering audiovisual works, including but not limited to motion pictures, promotional videos, commercials, and related materials (the "Production Services"); and

WHEREAS, Client desires to engage Producer to perform audiovisual production services for the project described herein entitled (the "Project") in accordance with the terms and conditions set forth below; and

WHEREAS, Producer has represented that Producer has the skill, expertise and personnel necessary to perform the Production Services.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Deliverables" means all final audiovisual materials, masters, and ancillary files delivered to Client as described in Section 3. "Underlying Materials" means raw footage, rushes, source files, stems, project files and other materials generated or used by Producer in connection with the Production Services.

2. SCOPE OF SERVICES

2.1 Producer shall provide the Production Services described in the attached Statement of Work or, if no separate schedule is attached, as specified in the Project Description field below. Producer shall use commercially reasonable efforts to provide qualified personnel, equipment and facilities necessary to render such services.

3. DELIVERABLES

3.1 Producer shall deliver the Deliverables described below in the formats and technical specifications reasonably required by Client. Unless otherwise agreed, Deliverables shall be delivered in the resolutions and codecs customary for the Project.

4. SCHEDULE AND MILESTONES

4.1 Producer shall perform services according to the schedule set forth below. Time is of the essence only to the extent expressly stated in this Agreement.

5. COMPENSATION; PAYMENT TERMS

5.1 As full compensation for Producer's performance of the Production Services, Client shall pay Producer the total fee of (the "Fee"), payable in accordance with the payment schedule below.

5.2 Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Client shall not withhold payment based on disputed portions except as provided in this Agreement and after providing written notice specifying the basis for dispute.

6. EXPENSES

6.1 Client shall reimburse Producer for reasonable out-of-pocket expenses incurred in connection with the Production Services, provided such expenses are pre-approved by Client when pre-approval is required under this Agreement.

7. CHANGES AND ADDITIONAL SERVICES

7.1 Any material change to the scope of services, schedule or budget shall be made only by written change order executed by authorized representatives of both parties. Producer shall be entitled to equitable adjustment of the Fee and schedule for additional services.

8. INTELLECTUAL PROPERTY; OWNERSHIP; LICENSES

8.1 Subject to full payment of all amounts due under this Agreement, Producer assigns to Client all right, title and interest in and to the final edited Deliverables as a collective audiovisual work; provided, however, that Producer retains ownership of the Underlying Materials and all pre-existing materials, tools and proprietary elements of Producer used in the production ("Producer Materials").

8.2 Producer hereby grants to Client a worldwide, perpetual, non-exclusive license to exploit the Deliverables in all media now known or hereafter devised, subject to payment in full. Any use of Producer Materials or Underlying Materials by Client beyond the license granted herein shall require a separate written license.

If parties intend the Deliverables to be a work made for hire under applicable law, check the box below. Otherwise, assignment and license provisions above shall govern.

9. CREDITS AND PROMOTION

9.1 Client shall provide Producer with reasonable on-screen credit in a form and placement customary for the Project. Any use of Producer's name, logo or samples for promotional purposes shall require Producer's prior written consent, except that Producer may use the Deliverables and clips for Producer's promotional portfolio.

10. CONFIDENTIALITY

10.1 Each party shall maintain in confidence any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly known or rightfully obtained from a third party without restriction.

11. REPRESENTATIONS AND WARRANTIES

11.1 Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Producer warrants that, to Producer's knowledge, the Deliverables will not infringe third party intellectual property rights provided that Producer's obligations do not extend to Client-provided materials or instructions.

11.2 EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE DELIVERABLES ARE PROVIDED "AS IS" AND PRODUCER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. INDEMNIFICATION

12.1 Each party agrees to indemnify, defend and hold harmless the other party and its officers, directors and agents from and against any third-party claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, gross negligence or willful misconduct.

13. INSURANCE

13.1 Producer shall maintain commercial general liability insurance and, where applicable, employer's liability and workers' compensation insurance with limits sufficient to cover the activities contemplated by this Agreement. Upon request, Producer shall provide certificates of insurance to Client.

14. TERMINATION

14.1 Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for days after written notice. Client may terminate for convenience upon days' prior written notice, in which event Client shall pay Producer for work performed and reasonable committed costs.

15. NOTICES

15.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may specify in writing.

16. MISCELLANEOUS

16.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

16.2 Entire Agreement. This Agreement, together with any attached schedules and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, oral or written.

16.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith a replacement provision that most nearly effects the original parties' intent.

16.4 Amendments; Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing signed by authorized representatives of both parties. Waiver of any breach shall not constitute waiver of any other or subsequent breach.

16.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic signatures and scanned copies of signed counterparts shall be deemed originals for all purposes.
