What an Audit Committee Communication Letter Is

An Audit Committee Communication Letter is a formal written report prepared by external auditors and delivered to those charged with governance that summarizes audit scope, significant findings, material adjustments, control deficiencies, and proposed management recommendations. It documents matters required by professional auditing standards and regulator guidance, records auditor independence considerations, and provides a written trail of key judgments, accounting policies, and unresolved issues for the audit committee's oversight function.

Why this letter matters to governance

The letter centralizes critical audit information for the audit committee, supports informed oversight, documents auditor–committee communications required by standards, and creates a record that helps boards meet fiduciary and regulatory expectations.
