Late Payment: Overdue invoices shall incur interest at % per month (or the maximum lawful rate if lower). Client is responsible for reasonable collection costs and any taxes imposed on payments under this Agreement.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the desired termination date. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice describing the breach.

Upon termination, Consultant shall be paid for all services performed and reasonable expenses incurred through the effective date of termination, subject to any applicable setoffs for Client's damages resulting from Consultant's breach.

Confidentiality

Each party shall keep confidential and not disclose to any third party any non-public information received from the other party in connection with this audit ("Confidential Information"), except as required by law or with the disclosing party's prior written consent. Confidential Information shall be used only for the purposes of performing obligations under this Agreement. The obligations in this section survive termination for a period of three (3) years, or longer as required by applicable professional standards.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties shall first attempt to resolve disputes in good faith through negotiation; if unresolved within thirty (30) days, disputes shall be resolved by binding arbitration conducted in the county of the Client's principal place of business, unless the parties mutually agree otherwise.

Representations, Insurance and Compliance

Each party represents that it has the authority to enter into this Agreement and will perform its obligations in compliance with applicable laws. Consultant shall maintain professional liability insurance in amounts customary for audit engagements and will provide proof of insurance upon Client's written request.

Entire Agreement

This Audit Project Schedule, together with any referenced engagement letters or appendices executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements.
