What an Auditor Recommendation Letter Is

An Auditor Recommendation Letter is a formal business letter that recommends a specific independent auditor or audit firm to perform financial statement audits, agreed-upon procedures, or internal control reviews. Organizations use it to document the selection rationale, confirm the auditor’s qualifications, summarize the scope and timing of proposed services, and identify conflicts of interest. Typical authors include finance officers, audit committees, or outside advisers. The letter becomes part of procurement and governance records and may be referenced by regulators, lenders, or stakeholders during due diligence or audit tender processes.

Why a Clear Recommendation Letter Matters

An Auditor Recommendation Letter documents why a particular auditor is selected, provides evidence of independence and competence, and supports governance and procurement records. It reduces procurement disputes, clarifies engagement scope, and helps satisfy regulator or lender inquiries about auditor selection.

Why a Clear Recommendation Letter Matters

Who Typically Prepares or Requests This Letter

Organizations use Auditor Recommendation Letters to document auditor selection and provide procurement transparency across stakeholders.

  • Audit committee members and corporate finance officers who oversee auditor selection.
  • External advisers or procurement teams managing RFPs and vendor evaluations.
  • Lenders, grantors, or government agencies requesting evidence of independent audit arrangements.

Keep the letter accessible to finance, audit committees, external advisers, and any party with a legitimate regulatory or funding interest.

Essential Sections to Include in the Letter

Essential sections below outline the content and structure needed in a professional Auditor Recommendation Letter to support selection transparency, engagement scope, and documentation for governance and compliance purposes.

Recipient

Name the entity or committee receiving the letter, include title, department, and contact information to clarify routing, recordkeeping, and which body approved the recommendation.

Recommended Auditor

Identify the audit firm or individual by legal business name, license or EIN if applicable, principal contact, and provide a brief summary of qualifications and relevant engagements.

Scope and Services

Describe the audit type (financial statement audit, agreed-upon procedures, internal controls), reporting standards (for example, GAAP and relevant SAS), deliverables, and anticipated timeline.

Independence

Include a formal independence disclosure noting any actual or perceived relationships, and state steps taken to assess or mitigate potential conflicts of interest.

Selection Rationale

Summarize evaluation criteria, RFP scoring, references checked, cost considerations, and why the recommended auditor best meets technical, timing, and budget requirements.

Authorization

Provide a signature block for the authorizing officer or committee chair, effective date, and any conditions required before executing an engagement letter.

Typical Timelines and Processing Expectations

Typical timing expectations for drafting, approval, distribution, and archival of an Auditor Recommendation Letter within standard procurement cycles.

Drafting window:

Allow 3–10 business days for information gathering and review.

Committee review period:

Schedule at least one meeting cycle; 7–14 days typical.

External distribution:

Provide copies to lenders or regulators within 5–10 business days.

Contracting start:

Finalize engagement letters after committee approval, often within 30 days.

Archival deadline:

File signed letter in governance records within five business days of approval.

Common Mistakes to Avoid

  • Incomplete auditor identification or missing license numbers lead to ambiguity and delay in contracting, and can trigger additional due diligence requests from lenders or regulators.
  • Vague scope descriptions cause disputes over deliverables and may require contract amendments, increasing cost and timeline.
  • Failure to disclose potential conflicts of interest or prior relationships undermines independence and can prompt regulatory inquiries or recusal requests.
  • Not retaining signed originals or failing to record committee approvals creates audit findings during internal or external procurement reviews.

Risks and Potential Consequences of Errors

Procurement Delay: Contracting may be delayed
Regulatory Scrutiny: Possible inquiries or penalties
Funding Risk: Lenders may withhold funds
Reputational Harm: Stakeholder trust reduced
Audit Qualification: Auditors may disclaim opinion
Financial Penalties: Fines or remediation costs

Practical Examples of Use

Two brief scenarios showing how an Auditor Recommendation Letter supports procurement and compliance across organizations.

Public Company Selection

A public company’s audit committee documents selection after an RFP to show due diligence and independence.

  • Supports SOX compliance and recorder reporting.
  • The letter was filed with committee minutes and the engagement letter; auditors were contracted within 30 days and the documentation satisfied external reviewers during the annual internal controls inspection.

Nonprofit Grant Requirement

A nonprofit provided an auditor recommendation letter to a grantor to confirm an independent audit requirement was met.

  • Meets grant compliance checks and reporting.
  • Including auditor qualifications and scope in the letter avoided delays in grant disbursement and provided a clear record for the funder’s audit and future compliance reviews.
