This Author Service Contract (the Agreement) is entered into as of Effective Date: by and between Client Name: with principal address and Author Name: with principal address .

WHEREAS

1. WHEREAS, Client wishes to engage Author to prepare, deliver, and, subject to the terms of this Agreement, transfer certain literary material and related services described below (the Work); and

2. WHEREAS, Author represents that Author is the sole creator of the Work to be provided under this Agreement and has full authority to grant the rights set forth herein; and

3. WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the creation, delivery, acceptance, and exploitation of the Work.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Upon termination, Client will pay Author for accepted Work performed through the date of termination, subject to offsets for breach.

Confidentiality

Each party shall hold in confidence all Confidential Information disclosed by the other party and shall not disclose such information to third parties without prior written consent. Confidential Information includes drafts, manuscripts, business terms, and any non-public material identified as confidential. The obligations of confidentiality survive termination for a period of years.

Intellectual Property and Rights Granted

Author warrants that the Work is original and that Author owns all rights necessary to grant the rights set forth herein. Author hereby grants to Client the following rights (select one):



Moral Rights: Author hereby waives, to the extent permissible by law, any moral rights in the Work. If waiver is not permitted, Author grants a license sufficient to allow Client to exercise the rights granted herein without restriction.

Warranties, Indemnification and Liability

Author warrants that the Work is original, does not infringe third-party rights, and contains no unlawful content. Author shall indemnify and hold Client harmless from third-party claims arising from breach of these representations. Client's total liability under this Agreement shall be limited to direct damages up to the total fees paid to Author under this Agreement; in no event shall either party be liable for consequential or punitive damages.

Independent Contractor; Taxes; Expenses

Author is an independent contractor. Author is responsible for all taxes, insurance, and benefits arising from amounts paid under this Agreement. Client will reimburse preapproved, reasonable out-of-pocket expenses documented by receipts, as specified in the payment schedule.

Client may use Author's name, likeness, and biographical material in connection with marketing and promotion of the Work:

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.
