AUTHORIZATION REPRESENTATION DOCUMENT

This Authorization and Representation Document (this "Agreement") is entered into as of by and between the Principal and the Authorized Representative identified below.

WHEREAS, Principal desires to engage the Authorized Representative to act on Principal's behalf for the limited purposes set forth in this Agreement; and

WHEREAS, Authorized Representative represents that it has the authority, experience, and ability to perform the duties, exercise the authorities and comply with the terms established in this Agreement; and

WHEREAS, the parties desire to establish the scope, limits and conditions of such authorization in writing.

SCOPE OF AUTHORIZATION

The Principal hereby authorizes the Authorized Representative to act on behalf of the Principal in the following capacities and subject to the limitations described below.

PAYMENT TERMS

In consideration for services and actions taken by the Authorized Representative under this Agreement, the Principal agrees to the following payment terms.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Termination shall not relieve the Principal of payment obligations for services rendered or obligations incurred prior to termination.

CONFIDENTIALITY

The Authorized Representative shall treat as confidential all non-public information obtained from the Principal in the course of performance and shall not disclose such information to any third party except as necessary to perform duties under this Agreement or as required by law. Authorized Representative agrees to implement reasonable measures to protect confidential information.

Upon termination or request by Principal, the Authorized Representative shall promptly return or destroy confidential materials and provide written certification of such return or destruction.

GOVERNING LAW; DISPUTES

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. Any dispute arising out of or relating to this Agreement shall be resolved by the mutually agreed dispute resolution procedure specified below or, if none is selected, by litigation in courts of competent jurisdiction in the stated governing jurisdiction.

INDEMNIFICATION AND LIABILITY

The Authorized Representative shall indemnify and hold harmless the Principal from and against any losses, claims, damages or liabilities resulting from the Representative's gross negligence, willful misconduct or material breach of this Agreement. Except for indemnification obligations, neither party shall be liable for incidental, consequential or punitive damages except to the extent arising from willful misconduct or gross negligence.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that Principal may assign to an affiliate or successor. Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses provided above.

EXECUTION AND CERTIFICATION

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement, that the person signing on its behalf is duly authorized to execute this Agreement, and that this Agreement constitutes a valid and binding obligation of such party enforceable in accordance with its terms.
