AUTHORIZATION REPRESENTATIVE FORM

This Authorization Representative Form is made and entered into as of by and between Principal Name: (the "Principal") and Authorized Representative Name: (the "Representative").

RECITALS

WHEREAS, the Principal is a legal entity or individual requiring assistance in managing specified matters and desires to appoint a Representative to act on the Principal's behalf with respect to those matters; and

The Principal hereby appoints the Representative as the Principal's true and lawful agent and attorney-in-fact to act on behalf of the Principal for the purposes and to the extent described in Section 2 (Scope of Authority). The Representative accepts such appointment and agrees to act in accordance with the terms and limitations of this Authorization.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Authorization, that the execution of this Authorization has been duly authorized, and that this Authorization constitutes a legal, valid, and binding obligation enforceable in accordance with its terms.

6. CONFIDENTIALITY

The Representative shall maintain in confidence all nonpublic information obtained pursuant to this Authorization and shall not disclose such information except as necessary to perform authorized duties or as required by law. The Representative shall take reasonable measures to safeguard such information.

7. INDEMNIFICATION

The Principal shall indemnify and hold harmless the Representative from and against all liabilities, losses, claims, damages and expenses (including reasonable attorneys' fees) arising out of or related to acts taken by the Representative in good faith and within the scope of the authority granted by this Authorization. The Representative shall indemnify the Principal for any acts outside the scope or performed in bad faith.

8. NOTICES

All notices required or permitted under this Authorization shall be in writing and delivered to the address set forth below for each party or to such other address as a party designates by written notice in accordance with this Section. Notices shall be effective upon receipt.

9. MISCELLANEOUS

Governing Law: This Authorization shall be governed by and construed in accordance with the laws of the jurisdiction in which the Principal's primary address is located, without regard to principles of conflicts of law.

Entire Agreement: This Authorization constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Severability: If any provision of this Authorization is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

Amendments and Waiver: Any amendment to this Authorization must be in writing and signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver.

Counterparts: This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals.
