What an Authorized Payment Services Agreement Does

An Authorized Payment Services Agreement is a written authorization that lets one party (the payer) permit another party (the payee or payment processor) to initiate, collect, or manage electronic payments on the payer's behalf. Typical payment methods covered include ACH debits, credit or debit card charges, and stored payment tokens. The agreement specifies payer identity, bank or card details, payment amounts or limits, frequency, effective date, termination rights, and dispute or refund procedures. When executed electronically it must meet ESIGN/UETA standards for intent, consent, attribution, and retention.

Why a Clear Authorization Matters

A concise, well-drafted agreement reduces payment disputes, clarifies liability, and documents consent for banks, processors, and regulators. It also creates an auditable record that supports compliance with NACHA rules, ESIGN and UETA, and industry-specific privacy obligations.

Why a Clear Authorization Matters

Who Commonly Signs an Authorized Payment Services Agreement

Typical parties include merchants, service providers, billing agents, and account holders who authorize recurring or one-time debits.

  • Merchants and vendors who bill customers on a recurring basis for subscriptions, utilities, or services.
  • Payment processors and gateways that collect or tokenize payment credentials for merchants.
  • Nonprofits and membership organizations that accept recurring donations or membership fees.

The document is appropriate whenever a third party will initiate payments from another party’s account or store payment credentials for future charges.

Core Elements to Include in the Agreement

A professional Authorized Payment Services Agreement is compact but precise: describe parties, payment methods, scope, authorization mechanics, timing, and legal protections.

Parties

Identify payer and payee by full legal name and contact details; include company and individual roles for clarity and enforcement.

Payment Details

Specify payment method (ACH, card, token), account or token identifiers, payment amounts or variable formula, and frequency.

Authorization Scope

State whether authorization is one-time or recurring, whether amounts may vary, and any maximum amount or cap per transaction.

Timing & Settlement

Describe when payments are initiated, expected clearing windows, and how processing failures or returns are handled.

Termination & Revocation

Explain how either party may revoke authorization, notice periods, and the effect of revocation on outstanding obligations.

Representations & Compliance

Include warranties about authority to authorize payments and compliance with NACHA, applicable state law, and privacy rules.

Security and Compliance Checklist

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Audit Trail: Timestamp, IP, and action logs retained
HIPAA Support: BAA available where PHI present
Authentication: Multi-factor options for signer verification
Access Controls: Role-based permissions and SSO
Data Residency: Configurable controls per policy

Step-by-Step: Completing and Executing the Agreement

Follow a consistent sequence to minimize errors and ensure enforceability when collecting payments electronically.

  • 01
Gather Information: Collect payer identity, bank/card details, and required supporting documents.
  • 02
Populate Fields: Enter all required fields and verify numeric data twice for accuracy.
  • 03
Authenticate Signer: Use email link, SMS code, or stronger KBA/ID verification.
  • 04
Store Record: Save signed copy and audit trail for retention and dispute defense.

Typical Digital Workflow Settings

Configure the online workflow to match the agreement’s required authentication strength and payment capture method.

Field Configuration
Signer Authentication Email link + SMS code; optional KBA
Payment Capture ACH debit or card tokenization at signature
Reminders Automated email reminders and retry rules
Document Retention Secure, tamper-evident storage with exports

How Electronic Execution and Processing Flow

An efficient flow reduces delays: prepare, authenticate, authorize, process, and retain — with clear handoffs between systems.

  • Send Agreement: Upload template and assign signature and payment fields.
  • Signer Authentication: Signer verifies identity and consents electronically.
  • Process Authorization: Processor initiates ACH/card tokenization per instruction.
  • Archive Record: Signed document and audit trail stored for compliance.

Technical Requirements for Digital Signing and Submission

Ensure the signing platform supports required file formats, signer authentication, and an auditable trail before e-executing payments.

  • Supported Formats: PDF and Word DOCX are standard for executed records
  • Integrations: CRM and ERP connectors (Salesforce, NetSuite, Google Workspace)
  • APIs & Tokens: API access for tokenized payment capture

Choose tools that provide tamper-evident storage, exportable audit trails, and configurable authentication to align with organizational risk and compliance needs.

Key Timelines and Processing Expectations

Understand settlement and notice windows to manage cash flow and dispute response times.

Effective Date:

Authorization begins on the MM/DD/YYYY effective date specified

ACH Settlement Window:

ACH typically settles within 1–3 business days depending on bank routing

Revocation Notice:

Payer should provide written notice; observe contract notice provisions

Return/Chargeback Window:

Banks may allow returns within established NACHA timeframes

Record Retention Start:

Retention begins on execution date for statutory periods

Common Preparation Mistakes to Avoid

  • Entering incorrect routing or account numbers — causes failed debits and chargebacks, increasing costs and customer friction.
  • Failing to document explicit consent language — ambiguous authorizations invite disputes and regulatory scrutiny.
  • Using image-only signatures without a verifiable audit trail — weak evidence can undermine enforceability in disputes.
  • Storing raw card data instead of tokens — raises PCI scope and breach exposure for the payee.

Consequences of Incorrect or Missing Authorization

Void Authorization: Payment may be unenforceable
Chargebacks: Bank refunds and processing fees
NACHA Fines: Network penalties for rule breaches
Regulatory Action: Consumer protection investigations
Data Breach Liability: PCI/HIPAA fines if protected data exposed
Litigation Costs: Defending disputes and reputational harm
