AUTO LOAN AGREEMENT

This Auto Loan Agreement (the Agreement) is made and entered into on (Effective Date) by and between Lender and Borrower identified above. Lender agrees to loan to Borrower and Borrower agrees to borrow from Lender the principal sum and on the terms set forth below.

Borrower grants Lender a security interest in the vehicle described above and any proceeds, accessories, and attachments thereto (Collateral) to secure payment and performance of Borrower's obligations under this Agreement. Borrower shall execute and deliver any financing statement or other documents necessary to perfect Lender's security interest.

Payments; Prepayment

Payments will be made to Lender at Lender's address set forth above or at such other place as Lender designates in writing. Payments received after 5:00 p.m. on the due date will be considered received the next business day.

Default; Remedies

The following events constitute an Event of Default: Borrower's failure to make any payment when due and such failure continues for ten (10) days after written notice; Borrower's insolvency, bankruptcy filing, assignment for benefit of creditors, or appointment of a receiver for Borrower's assets; material breach of Borrower's representations or covenants; or loss or impairment of Lender's security interest.

Upon the occurrence of an Event of Default, Lender may declare the outstanding principal and accrued interest immediately due and payable, take possession of the Collateral, foreclose the security interest, and pursue any other remedies available at law or in equity. Borrower shall be liable for Lender's costs of collection, including court costs and reasonable attorneys’ fees.

Insurance; Taxes; Fees

Borrower shall maintain comprehensive automobile insurance, including collision and liability coverages, with coverage limits satisfactory to Lender and shall name Lender as loss payee and lienholder. Borrower shall pay all registration fees, taxes, and other charges related to the Collateral as they become due.

Representations and Warranties

Borrower represents and warrants that: (a) Borrower has the legal capacity to enter into this Agreement; (b) all information provided to Lender is true, complete and not misleading; (c) Borrower has good title to the Collateral and there are no undisclosed liens or encumbrances other than those in favor of Lender; and (d) the Collateral is not presently subject to any theft reporting or salvage designation.

Costs; Attorneys' Fees

In the event of default, Borrower agrees to pay all costs and expenses incurred by Lender in collecting sums due or enforcing Lender's rights, including reasonable attorneys' fees and court costs, whether or not a lawsuit is commenced.

Assignment; Governing Law

Lender may assign or transfer its rights and obligations under this Agreement without Borrower's prior consent. This Agreement will be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as a party may designate by written notice.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. No amendment, modification, or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties. If any provision of this Agreement is held invalid, the remaining provisions will remain in full force and effect.
