Auto Parts Store Agreement

This Auto Parts Store Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Store is engaged in the retail sale of automotive parts and accessories and operates at the location identified above; and

WHEREAS, Supplier manufactures, sources, or distributes automotive parts and desires to supply certain parts and inventory to Store on the terms set forth herein; and

WHEREAS, the parties desire to establish the scope of supply, payment terms, confidentiality obligations and other commercial terms governing their relationship.

Scope of Work

Payment Terms

Store shall pay Supplier for parts delivered in accordance with the following terms.

All amounts due under this Agreement shall be paid in lawful currency. Supplier may suspend deliveries if payments are more than days overdue after written notice.

Term and Termination

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Upon termination, Store shall pay Supplier for all parts delivered and accepted through the effective date of termination.

Confidentiality

"Confidential Information" means nonpublic business, technical and financial information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential. Each party shall (a) use Confidential Information only to perform its obligations under this Agreement, (b) restrict disclosure to employees, contractors or agents with a need to know, and (c) protect Confidential Information with at least the same degree of care used to protect its own confidential information but no less than a reasonable standard of care.

Confidentiality obligations under this Agreement shall survive termination or expiration for a period of years, except as required by law or regulatory obligation.

Limitation of Liability

Except for a party's willful misconduct or gross negligence, in no event shall either party be liable for incidental, consequential, punitive or special damages. Supplier's total aggregate liability under this Agreement shall not exceed the greater of the fees paid by Store in the immediately preceding twelve (12) months or .

Warranty; Parts Returns

Supplier warrants that parts supplied shall conform to the specifications and be free from material defects in workmanship and materials for a period of from delivery. Return and warranty claim procedures shall be as set forth in the Scope of Work. For defective parts accepted by Supplier, Supplier's sole obligation shall be repair or replacement at Supplier's option.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved within days, disputes shall be resolved by binding arbitration conducted in the county where the Store is located, with each party bearing its own costs and attorneys' fees unless the arbitrator directs otherwise.

Entire Agreement; Amendments

This Agreement, including its exhibits and schedules, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and representations. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by notice. Notice is effective upon receipt.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
