This Auto Sales Agreement ("Agreement") is entered into between the undersigned parties:

WHEREAS, Seller is the lawful owner of the motor vehicle described below and has authority to transfer title; and

WHEREAS, Buyer desires to purchase and accept transfer of such motor vehicle and Seller desires to sell the same under the terms set forth herein; and

WHEREAS, the parties intend for this Agreement to constitute the entire agreement for the sale and transfer of the motor vehicle described below.

Scope of Sale

Seller agrees to sell and transfer, and Buyer agrees to purchase and accept delivery of, the vehicle described above, together with all related keys, title documents, and any written maintenance records in Seller's possession, subject to the terms and conditions of this Agreement.

Payment Schedule: Buyer shall pay the balance due by by cash, certified funds, or other method acceptable to Seller. Until full payment is received Seller retains a security interest in the vehicle.

Late Payment: Any payment not received within days after its due date will accrue a late fee of and interest at the maximum rate permitted by applicable law on the unpaid balance.

Seller shall execute and deliver to Buyer a valid assignment of title, properly endorsed and free of undisclosed liens, upon receipt of the Purchase Price in full. If any recorded lien exists, Seller will deliver a certified lien release at or before closing. Risk of loss passes to Buyer upon delivery of the vehicle to the Delivery Location.

Warranties; AS IS Sale; Odometer Statement

Unless specifically set forth in a separate written warranty signed by Seller and attached to this Agreement, the vehicle is sold "AS IS," and Seller makes no express or implied warranties as to the condition, fitness for a particular purpose, or merchantability of the vehicle.

Odometer: Seller certifies that to the best of Seller's knowledge, the odometer reading at the time of sale (entered above) reflects the actual mileage unless otherwise noted. Any known discrepancies are disclosed as follows:

Representations, Liens & Indemnification

Seller represents that Seller is the lawful owner of the vehicle, that the vehicle is free from undisclosed liens and encumbrances, and that Seller has full right and authority to sell the vehicle. Seller will indemnify and hold Buyer harmless from any loss, cost or liability arising from any undisclosed lien, encumbrance, or claim by a third party resulting from facts existing prior to the transfer of title.

Buyer represents that Buyer has the financial capacity to complete the transaction in accordance with this Agreement and will indemnify Seller for any losses arising from Buyer's breach of payment obligations.

Confidentiality

Except as required by law, the parties shall keep confidential the terms of this Agreement, the purchase price, and any non-public information exchanged in connection with negotiation and performance of this Agreement. Disclosure of confidential information to a party's legal counsel, accountant, or financing institution is permitted provided the recipient agrees to maintain confidentiality.

Term and Termination

This Agreement is effective as of the date of last signature below and terminates upon completion of the obligations of both parties, including transfer of title and payment in full, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party after providing written notice and a period of days to cure the breach. Termination will not relieve the breaching party of liability for breaches occurring prior to termination.

Default Remedies

Upon Buyer's default in payment, Seller may retain the deposit as liquidated damages or pursue recovery of the balance and any actual damages. Upon Seller's failure to deliver title or vehicle as required, Buyer may seek specific performance, return of any deposit, and recovery of incidental damages.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state governing the vehicle's registration at the time of sale. The parties submit to the exclusive jurisdiction of the state and federal courts located therein.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Waiver: No waiver by either party of any breach shall be deemed a waiver of any other breach.
