If Buyer elects not to complete an independent inspection, Buyer accepts responsibility for any undisclosed condition after transfer of ownership.

CONFIDENTIALITY

The parties agree that the financial terms of this Agreement and any non-public business information exchanged between the parties in connection with this transaction are confidential and shall not be disclosed to third parties except (i) as required by law, (ii) to their legal or financial advisors who agree to keep such information confidential, or (iii) as necessary to effectuate the transfer of title and registration. Remedies for breach of confidentiality include injunctive relief and damages.

DELIVERY, TITLE TRANSFER, AND RISK OF LOSS

Title and risk of loss pass to Buyer upon Seller's delivery of the vehicle to Buyer and receipt of cleared payment in full, unless otherwise agreed in writing. Seller shall provide Buyer with a properly executed assignment of title, a bill of sale, and any other documents reasonably necessary to transfer ownership and registration.

INDEMNIFICATION

Each party agrees to indemnify and hold harmless the other party against claims, liabilities, losses or expenses arising from the indemnifying party's breach of representations, willful misconduct, or negligence in connection with this Agreement. Indemnification obligations survive termination or expiration of this Agreement.

GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising out of this Agreement shall be the state or federal courts located within that state.
