AWARD AGREEMENT

RECITALS

3. CONSIDERATION

In consideration of the grant of the Award, Recipient shall provide services to the Company on the terms set forth herein. If the Award requires payment by Recipient, the Exercise Price / Purchase Price (if applicable) is per share or unit, payable in accordance with Section 5.

4. VESTING AND FORFEITURE

The Award shall vest in accordance with the following schedule, provided Recipient remains in continuous service through each applicable vesting date. Vesting Commencement Date: .

If Recipient's service terminates for any reason prior to a vesting date, unvested portions shall be forfeited automatically as of the termination date unless otherwise provided in an express written agreement signed by an authorized officer of the Company.

5. EXERCISE, PAYMENT, AND DELIVERY

Unless otherwise agreed in writing, Recipient must deliver a written notice of exercise, payment of any required consideration, and completion of any tax withholding obligations prior to issuance or transfer.

6. TRANSFER RESTRICTIONS

Recipient may not sell, assign, pledge, or otherwise transfer any unvested Award or rights thereto. Any attempted transfer in violation of this Section shall be void. Awards that constitute securities shall be subject to transfer restrictions and legends as required by the Company's governing documents and applicable law.

7. TAXES AND WITHHOLDING

The Company shall have the right to withhold from any payment or require payment from Recipient in respect of all federal, state and local taxes required by law to be withheld in connection with the Award. Recipient shall be solely responsible for all tax obligations arising from the grant, vesting, exercise, or payment of the Award.

8. REPRESENTATIONS AND WARRANTIES

Recipient represents and warrants that Recipient has full legal capacity to enter into this Agreement, that the execution and delivery hereof and the performance of Recipient's obligations will not violate any agreement to which Recipient is a party, and that any information provided by Recipient to the Company in connection with the Award is true and complete. The Company represents that it has authority to grant the Award and that the grant complies with the Company's governing instruments.

9. CONFIDENTIALITY

Recipient shall maintain in confidence and not disclose any nonpublic information relating to the Company's business, financial condition, or plans obtained through Recipient's relationship with the Company, except as required by law or to the extent such information becomes publicly available other than through Recipient's breach of this Section.

10. INDEMNIFICATION

Recipient agrees to indemnify, defend and hold harmless the Company and its affiliates against any losses, claims, liabilities, or expenses (including reasonable attorneys' fees) arising from Recipient's breach of this Agreement or violation of applicable law in connection with the Award, except to the extent such losses result from the Company's willful misconduct or gross negligence.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier and shall be effective upon receipt.

12. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver thereof.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

14. ENTIRE AGREEMENT

This Agreement, together with any schedules, exhibits, and any separate written award notice, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable in any respect, the validity and enforceability of the remaining provisions shall not be affected thereby and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be treated as originals for all purposes.

17. MISCELLANEOUS

Neither this Agreement nor any rights hereunder may be assigned by Recipient without the prior written consent of the Company, except to Recipient's permitted transferees in the event of death. The Company may assign its rights and obligations to any successor by merger or acquisition.
