AWARD TROPHY PRODUCTION AGREEMENT

This Agreement is made effective as of by and between Client Name: and Vendor Name: .

WHEREAS

WHEREAS, Client desires to commission the design, manufacture, and delivery of an award trophy described in this Agreement; and

WHEREAS, Vendor represents that it has the capability, expertise, and resources to produce the trophy to the specifications and schedule set forth herein; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the production, payment, delivery, and acceptance of the award trophy.

SCOPE OF WORK

Vendor shall design, fabricate, finish, and deliver the award trophy in accordance with the specifications agreed by the parties. The detailed scope and production requirements are set out below and in the attached specifications incorporated by reference into this Agreement.

AWARD DETAILS

PAYMENT TERMS

Client shall pay Vendor the total production price and related charges in accordance with the schedule below. All amounts are payable in lawful currency.

If Client fails to make payments when due, Vendor may suspend production until payment is received. Client shall also be responsible for reasonable collection costs, including attorney fees, for overdue balances.

PRODUCTION SCHEDULE & DELIVERY

Vendor shall notify Client of any foreseeable delays. Unless otherwise agreed in writing, delivery dates are estimates; however Vendor shall use commercially reasonable efforts to meet the estimated delivery date.

TERM AND TERMINATION

This Agreement commences on the Production Start Date and terminates upon final delivery and Client acceptance, unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above following written notice. Termination shall not relieve Client of its obligation to pay for work performed and costs incurred prior to termination.

CONFIDENTIALITY

Each party shall treat as Confidential Information all non-public business, technical and financial information disclosed by the other party in connection with this Agreement. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, that was rightfully known prior to disclosure, or that is independently developed. Receiving party shall not disclose or use Confidential Information except as necessary to perform obligations under this Agreement. These confidentiality obligations shall survive termination for three (3) years.

ACCEPTANCE; WARRANTIES

Vendor warrants that the trophy shall conform to the agreed specifications and be free from material defects in workmanship for a period of ninety (90) days from delivery. Client shall inspect delivered trophies within seven (7) days and notify Vendor in writing of any nonconformity. If Vendor fails to cure nonconformities within a reasonable period, Client may seek repair, replacement, or a proportionate refund, at Vendor's option.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including the specifications and any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification to this Agreement must be made in writing and signed by both parties.
