Recitals

WHEREAS, Client maintains business data and systems that require reliable backup and recoverability solutions to preserve operational continuity and protect against data loss; and

WHEREAS, Provider is engaged in the business of supplying backup, storage, and restoration services and has the personnel, systems, and expertise to provide such services under the terms of this Backup Options Form; and

NOW, THEREFORE, in consideration of the mutual promises set forth herein and other good and valuable consideration, Client and Provider hereby agree as follows.

Payment Terms

Client agrees to pay Provider the fees set forth below in consideration for the services described herein. Fees shall be invoiced in accordance with the schedule and are due as stated on each invoice. Failure to pay when due shall constitute a breach subject to termination as set forth below.

Term and Termination

This Backup Options Form shall commence on the Start Date and continue through the End Date, unless earlier terminated in accordance with the terms below.

Either party may terminate this Agreement for material breach by the other party that remains uncured after the expiration of the notice period specified above. Provider may suspend services immediately for non-payment, pending cure or payment in full.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" includes non-public data, trade secrets, system configurations, security credentials, and business information. Recipient shall: (a) use Confidential Information solely for performance under this Agreement; (b) restrict access to employees and subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (c) not disclose Confidential Information to any third party except as required by law or court order, provided recipient gives prompt notice to allow the disclosing party to seek protective measures. Confidential obligations survive termination for a period of three (3) years, or longer if required by applicable law for personal data.

Indemnity and Limitation of Liability

Provider shall use commercially reasonable efforts to protect Client data and to perform services in a professional manner. Provider does not warrant uninterrupted or error-free operation. To the extent permitted by law, each party's aggregate liability for claims arising out of this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for consequential, incidental, punitive, or special damages except for liability arising from willful misconduct or gross negligence.

Governing Law

This Backup Options Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for disputes arising under this Agreement.

Entire Agreement

This document, together with any Schedules or Attachments signed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, communications, and proposals, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets.
