BAKERY CAKES CONTRACT

This Bakery Cakes Contract (the Agreement) is entered into on between Baker Name: and Client Name: .

WHEREAS

WHEREAS, Baker operates a commercial bakery providing custom cakes, confections and related services and has represented that Baker is qualified and able to design, prepare and deliver the goods described in this Agreement; and

WHEREAS, Client desires to engage Baker to prepare a custom cake and related goods for Client's event under the terms set forth below; and

WHEREAS, the parties wish to set forth their respective obligations, payment terms, schedule, and remedies in writing.

SCOPE OF WORK

Baker shall provide the cake(s), decorations and related services as detailed below. The parties agree the following specifications are material to Baker's performance:

PAYMENT TERMS

Client shall pay Baker the total price for the services and goods described in the Scope of Work. Payment terms are as follows:

Late payments shall incur a late fee of per day and/or interest at . Failure to pay amounts when due authorizes Baker to withhold delivery and pursue all remedies available at law or equity, including collection costs and attorneys' fees.

TERM AND TERMINATION

This Agreement commences on and shall terminate on , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within after receipt of written notice. Client acknowledges that deposits are non-refundable except as otherwise stated herein. Termination by Client within of the event will result in forfeiture of deposit and may require additional payment for work already performed.

CONFIDENTIALITY

Each party agrees that any proprietary recipe, pricing, customer lists, trade secrets or business information disclosed in connection with this Agreement shall be held confidential and not disclosed to third parties except as required by law. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party, or information independently developed by the receiving party without use of confidential information.

ALLERGENS, INGREDIENTS AND FOOD SAFETY

Client acknowledges that Baker uses ingredients that may contain or come into contact with allergens. Baker will use reasonable care to comply with Client's stated ingredient restrictions, but Baker cannot guarantee an allergen-free environment. Client assumes the risk of allergic reaction and agrees to inform Baker in writing of any known allergies or dietary restrictions prior to Baker commencing work.

DELIVERY, ACCEPTANCE AND RISK OF LOSS

Delivery time is an essential element of this Agreement. Baker will deliver or have cake available for pickup at the agreed time. Client shall inspect goods at delivery/pickup. Acceptance is deemed upon Client's signature, pickup, or failure to notify Baker of defects within 24 hours of delivery. Risk of loss passes to Client on delivery to Client or to the carrier at pickup.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, costs and expenses arising out of the indemnifying party's negligent acts or omissions, breach of this Agreement, or wilful misconduct.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform due to causes beyond reasonable control, including but not limited to acts of God, fire, flood, governmental action, health emergencies or supply shortages. The affected party shall notify the other promptly and the parties will use reasonable efforts to agree an alternative performance arrangement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any action arising under this Agreement shall lie exclusively in the courts located in that State.

ENTIRE AGREEMENT

This Agreement, including any attachment or written specifications signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach. Notices required under this Agreement shall be delivered in writing to the addresses set forth above.
