Termination on Notice: Either party may terminate this verification engagement by providing written notice at least days prior to termination. Termination does not relieve the Account Holder of fees for services performed prior to the termination effective date.

CONFIDENTIALITY

All non-public information disclosed by either party and obtained in connection with the verification constitutes Confidential Information. Each party agrees to hold such information in strict confidence and not to disclose it except to employees, agents or advisors who have a need to know and who are bound to maintain confidentiality. The obligations of confidentiality survive termination for a period of three years, except for information that is: (a) publicly available through no fault of the receiving party; (b) required to be disclosed by law or valid process, provided the disclosing party is given prompt notice to seek protective relief.

GOVERNING LAW; ENTIRE AGREEMENT
