Authorization, Representations, and Terms

By signing below, Account Holder authorizes Payee and Payee's designated processor to initiate debit entries to the account indicated above (the "Account") and, if necessary, to initiate correcting credit entries in the event of erroneous debits. This authorization remains in effect until revoked in writing in accordance with the Cancellation section below. Account Holder authorizes the bank to accept and process such entries and agrees that Payee may rely upon this authorization until Payee actually receives written notice of revocation and has had a reasonable opportunity to act upon it.

Account Holder represents and warrants that the Account Holder is either the owner of the Account or an authorized signer for the Account and has full authority to authorize debits from the Account. Account Holder agrees to promptly notify Payee of any changes to the Account information and acknowledges that failure to do so may result in returned items, fees, and suspension of payment processing.

Account Holder agrees to pay any fees assessed by the financial institution for returned or rejected items including, but not limited to, insufficient funds. Account Holder further agrees to indemnify, defend and hold harmless Payee from any losses, claims, liabilities, damages or expenses arising from Payee's good faith reliance on this authorization, except for losses caused by Payee's gross negligence or willful misconduct.

Cancellation / Revocation: This authorization may be revoked by Account Holder by delivering written notice to Payee at the Payee address provided on this form. Such revocation will be effective only after Payee has had a reasonable period of time to act upon it; Account Holder remains responsible for debits initiated prior to actual receipt and reasonable processing of the revocation notice. Any request to change or stop a scheduled payment must be submitted at least 3 business days prior to the scheduled debit date unless otherwise agreed in writing.

Governing Law: This Authorization and all disputes arising out of it shall be governed by the laws of the state in which Payee maintains its principal place of business, without regard to conflict of law principles. If any provision of this Authorization is determined to be invalid, the remaining provisions shall remain in full force and effect.

Electronic Signatures and Copies: Account Holder consents to the use of electronic signatures and to the retention of electronic records. A facsimile or electronic copy of this Authorization shall be as effective as an original.

Additional Documentation

Submit one of the following with this form as required by Payee: a bank voided check preprinted with Account Holder name, a bank letter confirming account details, or a recent account statement. Payee reserves the right to require additional verification prior to initiating debit entries.
