By signing below, Account Holder represents and warrants that the information provided in this Authorization is true, correct and complete; that the Account Holder is duly authorized to initiate this wire transfer; and that the funds are not proceeds of unlawful activity. Account Holder authorizes Debiting Bank to debit the named account for the amount specified and to transmit funds through correspondent and beneficiary banks as necessary.

Account Holder agrees to indemnify, defend and hold harmless Debiting Bank and its affiliates, agents and correspondents from and against any and all claims, costs, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of or related to the execution, transmission or attempted transmission of the wire, including without limitation errors in beneficiary or routing information, delays, or compliance with laws and regulations.

Debiting Bank shall use reasonable care in executing this instruction, but shall not be liable for consequential, indirect or special damages, for interruptions beyond its control, or for delays or losses resulting from acts of correspondent or beneficiary banks. Revocation of this Authorization is effective only if received in writing and accepted by Debiting Bank prior to execution of the wire; Debiting Bank reserves the right to refuse revocation where payment processing has commenced.
