What a Banking Account Opening Resolution Is and when it's used

A Banking Account Opening Resolution is an internal corporate document adopted by a board of directors or authorized owners that formally approves the opening of one or more bank accounts and identifies who may act on the account. The resolution states the account type, authorized signers, signing authority limits, and any special instructions for deposits, wire transfers, or signature delegation. Banks typically require a certified copy of the corporate minutes or a signed resolution before establishing business accounts; the resolution creates a clear audit trail linking the legal entity, decision makers, and institutional banking relationships.

Why a clear resolution matters for banking operations

A concise, properly executed Banking Account Opening Resolution reduces onboarding delays, clarifies signer authority for banks, and protects the organization by documenting internal approval. It helps banks meet their compliance checks and provides evidence of corporate authority during audits or disputes.

Why a clear resolution matters for banking operations

Who prepares and who signs the Banking Account Opening Resolution

Typical preparers are corporate secretaries, general counsel, CFOs, or company officers who draft board minutes and resolutions prior to bank submission.

  • Corporate secretary or counsel prepares the draft and circulates for board review and approval.
  • Board of directors or LLC members adopt and certify the resolution at a meeting or by written consent.
  • Authorized signers (officers, managers) execute bank forms and provide IDs after the bank accepts the certified resolution.

After adoption, a certified copy and any supporting documents are delivered to the bank with signer IDs so the institution can verify authority and complete account setup.

Typical signers and approvers

Board Chair

Board Chair or President — signs or certifies the resolution and confirms that the board meeting or written consent authorized the account opening; often provides the certification stamp and date for the bank's file.

Chief Financial Officer

Chief Financial Officer — listed as an authorized signer for day-to-day transactions, wires, and checks; may also set single- or dual-signature limits and confirm internal controls to the bank.

Essential data elements to include

Entity name: Exact legal name
Form of entity: Corporation, LLC, partnership
EIN / TIN: Federal tax ID
Authorized signers: Names and titles
Signature limits: Per-transaction authority
Certification date: Adoption date

Common preparation pitfalls

  • Using an informal memo instead of a certified resolution, which banks may reject or require additional proof of authority.
  • Listing ambiguous signer titles or nicknames rather than full legal names and official titles, causing identity verification delays.
  • Failing to attach required supporting documents such as articles of incorporation, EIN confirmation, or meeting minutes.
  • Omitting signature authority limits or dual-signature requirements, which can lead to processing errors or unauthorized transactions.

Risks of an incorrect or missing resolution

Account setup delay: Lost time, possible missed payments
Administrative rejection: Bank may require re-submission
Unauthorized access: Fraud or misrouted funds
Regulatory exposure: KYC/AML hold or additional scrutiny
Tax consequences: Backup withholding triggers
Legal disputes: Challenges to authority

How to adopt and deliver a Banking Account Opening Resolution

Follow these sequential steps to create, approve, and submit a resolution acceptable to most U.S. banks.

  • 01
Draft: Prepare a resolution showing the entity, account type, and authorized signers.
  • 02
Approve: Adopt at a board meeting or by written consent per governing documents.
  • 03
Certify: Have the corporate secretary or authorized officer sign and date a certified copy.
  • 04
Submit: Deliver the certified resolution and supporting documents to the bank for account opening.

Typical bank onboarding flow for a new business account

Banks run identification and compliance checks after receiving the resolution and supporting documents; understanding their sequence helps avoid rework.

  • Document intake: Bank receives resolution and IDs for each signer.
  • Compliance review: KYC/AML checks and beneficial owner screening occur.
  • Account setup: Bank creates ledger and assigns routing information.
  • Confirmation: Bank notifies the business when the account is active.

Digital workflow checklist for online completion

Set up a clear e-submission workflow when you complete the resolution electronically to preserve auditability.

Field | Configuration Responsible party | Required
Document upload PDF/A preferred for preservation
Signer authentication Use multi-factor or ID verification
Certificate capture Store audit trail and timestamps
Delivery method Secure upload or bank portal

Technical considerations for e-submission and signatures

Ensure the chosen platform captures signer identity, a tamper-evident audit trail, and allows certified copies to be produced for bank review.

  • Authentication: Email + MFA or ID verification
  • File formats: PDF, DOCX accepted
  • Integrations: CRM and document storage

Use a platform that supports ESIGN/UETA compliance, audit logs, and export of signed PDFs so the bank receives a verifiable, permanent record of approval.

Timing and processing expectations

Allow internal and bank processing time when planning account openings; timeframes vary by institution and complexity.

Internal approval lead time:

Allow 3–10 business days for board or member consent

Bank review period:

1–7 business days depending on KYC complexity

Wire setup lead:

Additional 1–3 days to activate wire transfers

Notarization scheduling:

Plan 1–5 days for in-person notarization or RON

Record retention start:

Retention begins on certification date
