BUSINESS BANKING SERVICES AGREEMENT

WHEREAS, the Bank is authorized to provide deposit, payment processing, and related treasury services to business clients under commercially reasonable terms; and

The Bank will provide the Client with the banking services selected below and any ancillary services mutually agreed in writing. TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice at least days prior to termination. Termination for material breach by either party is effective immediately upon the non-breaching party's written notice if the breach is not cured within 30 days of receipt of notice.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information and materials disclosed by the other party in connection with this Agreement (Confidential Information). Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or is rightfully obtained from a third party without restriction. The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose it except to employees, affiliates, or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein.

REPRESENTATIONS AND WARRANTIES; COMPLIANCE

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder. The Client represents that all information provided to the Bank, including account and identity information, is true, complete, and not misleading. The Client shall comply with all applicable laws, rules and regulations, including anti-money laundering and sanctions requirements. The Bank may suspend services if it reasonably believes that the Client's activity violates applicable laws or presents undue risk.

INDEMNIFICATION

The Client shall indemnify, defend and hold harmless the Bank and its officers, directors and agents from and against any and all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the Client's breach of this Agreement, negligent or willful misconduct, or violation of applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any action arising out of this Agreement shall lie exclusively in a court of competent jurisdiction located within that state.

ENTIRE AGREEMENT

This Agreement, together with any schedules, fee disclosures, account agreements, and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

MISCELLANEOUS

Notices under this Agreement shall be in writing and delivered to the addresses provided in this form or to such other address as either party may designate by notice. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
