BAR SERVICE CONTRACT

RECITALS

WHEREAS, Client desires professional bar services for the event described in this agreement; and

WHEREAS, Operator represents that it is duly licensed, staffed, and insured to provide bar services and agrees to provide such services on the terms set forth herein; and

WHEREAS, the parties wish to set forth their respective rights and obligations concerning the provision of bar services at the Event.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

1. SERVICES

1.1 Scope. Operator shall provide bar services as described below, including bartending, beverage service, setup, break-down, and related staffing (the "Services"). Operator shall perform Services in a professional manner consistent with industry standards.

2. EVENT, TERM, AND SCHEDULE

2.2 Setup and Breakdown. Operator shall arrive sufficiently in advance to perform setup and comply with venue rules. Operator shall complete breakdown and remove equipment within the timeframe agreed or as required by the venue.

3. COMPENSATION AND PAYMENT

4. STAFFING AND PERSONNEL

4.1 Staffing. Operator shall provide qualified personnel, including a minimum of bartenders, subject to adjustments for size and scope of the Event. Operator retains sole authority to hire, supervise, and direct its personnel.

4.2 Certification and Age. All bartenders provided by Operator shall be at least 21 years of age and possess any training or certification required by applicable law.

5. EQUIPMENT, INVENTORY, AND SUPPLIES

5.1 Provision. Operator shall provide standard bar equipment and glassware as required to perform the Services unless otherwise agreed. If Client elects to provide beverages, the parties shall agree in writing prior to the Event.

6. PERMITS, LICENSES, AND COMPLIANCE

6.1 Operator shall maintain and produce upon reasonable request all licenses and permits required to sell and serve alcoholic beverages. Client shall cooperate in securing any venue-specific permits and shall ensure the venue complies with applicable laws and ordinances.

6.2 Responsible Service. Parties agree to comply with all applicable laws regarding the sale and service of alcohol, including identification checking and refusing service to intoxicated persons.

7. INSURANCE AND INDEMNIFICATION

7.1 Insurance. Operator shall maintain general liability insurance covering its operations in an amount not less than $1,000,000 per occurrence and shall provide evidence of insurance upon request.

7.2 Indemnification. Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party and its officers, agents, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's negligence, willful misconduct, or breach of this Contract; provided, however, that Operator's indemnity shall not apply to the extent that damage arises solely from Client's negligence.

8. CANCELLATION AND TERMINATION

8.1 Cancellation by Client. Client may cancel this Contract by providing written notice. If Client cancels less than days prior to the Event, Client shall be responsible for the deposit and may be responsible for additional costs incurred by Operator.

8.2 Termination for Cause. Either party may terminate this Contract for material breach by the other if such breach remains uncured for a period of 10 days after written notice.

9. FORCE MAJEURE

Neither party shall be liable for failure or delay in performing obligations under this Contract due to events beyond its reasonable control, including but not limited to acts of God, governmental action, labor disputes, or pandemics. The affected party shall notify the other promptly and make reasonable efforts to resume performance.

10. CONFIDENTIALITY

The parties acknowledge that certain information exchanged in connection with this Contract may be confidential, including pricing and proprietary recipes. Neither party shall disclose the other's confidential information except as required by law.

11. LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for any incidental, consequential, punitive, or special damages, even if advised of the possibility of such damages. The aggregate liability of a party shall not exceed the total Fees paid under this Contract.

12. NOTICES

All notices required or permitted under this Contract shall be in writing and delivered to the addresses set forth below or to such other address as a party designates in writing.

13. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Contract shall be effective unless in writing and signed by both parties. Waiver of any breach shall not constitute waiver of any other breach. This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one agreement.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Contract shall be governed by and construed in accordance with the laws of the state selected by the parties at the time of signature. This Contract constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior negotiations and agreements. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. MISCELLANEOUS

The parties represent and warrant that they have the authority to enter into this Contract. Headings are for convenience only and do not affect interpretation. Time is of the essence with respect to payment obligations.
