1. DEFINITIONS

1.1 "Goods" means tangible items identified in Schedule A and Schedule B that are the subject of the exchange. "Services" means intangible performance obligations described in Schedule A and Schedule B. "Fair Market Value" means the value agreed by the Parties as set forth in Sections 2 and 3.

2. EXCHANGE OF CONSIDERATION

2.1 Exchange. Subject to the terms of this Agreement, First Party shall transfer to Second Party the goods and/or perform the services described in Schedule A in exchange for the goods and/or services described in Schedule B to be transferred or performed by Second Party.

2.2 Allocation of Value and Cash Equalization. If the Parties have agreed that an unequal value exists, the Party owing a cash equalization amount shall pay that amount in lawful money as set forth here: Amount Payable: . The Parties acknowledge that any such cash adjustment is part of the overall consideration exchanged.

3. DELIVERY, TRANSFER OF TITLE AND ACCEPTANCE

3.1 Delivery and Title. Unless otherwise agreed in writing, title to Goods shall pass to the receiving Party upon physical delivery and acceptance at the receiving Party's designated address. Delivery deadlines: .

3.2 Inspection and Rejection. The receiving Party shall have a period of days following delivery to inspect and notify the delivering Party of any nonconformity. Failure to timely notify constitutes acceptance.

4. REPRESENTATIONS AND WARRANTIES

4.1 Each Party represents and warrants to the other that: (a) it has full power and authority to enter into and perform this Agreement; (b) it is the owner of, or has the lawful right to transfer, the Goods and to provide the Services described in the applicable Schedule; and (c) the transfer of such Goods and Services will not violate any agreement with a third party.

4.2 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

5. INDEMNIFICATION

5.1 Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of its representations, warranties or obligations under this Agreement, or from third-party claims relating to the Goods or Services provided by the Indemnifying Party.

6. TAXES AND COSTS

6.1 Each Party shall be responsible for its own taxes arising from or related to the transfer of Goods or provision of Services, including but not limited to sales, use, transfer, consumption and income taxes, unless otherwise agreed. The Parties agree to cooperate in good faith regarding any tax reporting obligations.

7. RISK OF LOSS; INSURANCE

7.1 Risk of loss or damage to Goods shall pass with title, unless otherwise specified in writing. Each Party shall maintain insurance appropriate to its obligations and the value of the Goods or Services exchanged.

8. TERM; TERMINATION

8.1 Term. This Agreement shall commence on the Effective Date and shall continue until all obligations have been performed or earlier terminated as provided herein.

8.2 Termination for Cause. Either Party may terminate this Agreement upon written notice if the other Party materially breaches any obligation and fails to cure such breach within days after receipt of written notice.

9. CONFIDENTIALITY

9.1 Each Party agrees to keep confidential any non-public information received from the other Party in connection with this Agreement for a period of years, except as required by law.

10. LIMITATION OF LIABILITY

10.1 EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT.

12.1 This Agreement may be amended only by a writing signed by both Parties. No waiver of any provision will be effective unless in a writing signed by the waiving Party. 13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding conflict of laws principles that would apply another jurisdiction's laws.

13.2 Entire Agreement. This Agreement, including any Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
