WHEREAS

WHEREAS, Client owns or is authorized to act on behalf of the owner of the equipment described below and requests replacement of the battery or batteries specified; and

WHEREAS, Service Provider is engaged in the business of supplying and installing batteries and related services and represents that it has the requisite skill and authorization to perform the replacement; and

WHEREAS, the parties desire to set forth the terms under which Service Provider will replace the battery(ies) described herein and Client will authorize and pay for such services.

Scope of Work

Service Provider shall supply, install, test, and dispose of the replaced battery(ies) as described. Service Provider shall notify Client of any additional repairs or parts required beyond battery replacement and obtain written authorization prior to performing such additional work.

Payment Terms

Client agrees to pay for parts, labor, and disposal fees as set forth below. All amounts are due in U.S. dollars unless otherwise agreed in writing.

Client authorizes Service Provider to charge the credit card on file or to invoice Client per the schedule above. Client acknowledges that additional fees for testing, diagnostics, or unforeseen repairs may apply if discovered during replacement; Service Provider shall attempt to obtain prior authorization for any charge exceeding the estimated price by more than the amount specified below.

Authorization Threshold Without Further Consent:

Term and Termination

This Authorization becomes effective on Start Date: Month Day Year and shall continue until End Date: Month Day Year , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Authorization for material breach if the breaching party fails to cure such breach within days after written notice. Termination does not relieve Client of payment obligations for services performed or materials provided prior to termination.

Confidentiality

The parties acknowledge that in the course of performance, Service Provider may obtain non-public information concerning Client's equipment, account or business. Service Provider shall not disclose such information to third parties except as required by law or to perform the services described herein. This obligation survives termination of this Authorization for a period of two (2) years.

Warranties & Liability

Service Provider warrants that replacement batteries supplied under this Authorization will conform to the specifications set forth and will be free from defects in materials and workmanship for a period of months from date of installation. This warranty is limited to repair or replacement of the battery and does not cover consequential or incidental damages. Except as expressly provided, Service Provider disclaims all other warranties, express or implied.

Limit of Liability: In no event shall Service Provider's aggregate liability arising out of or related to this Authorization exceed the total amounts paid by Client to Service Provider for the specific battery replacement giving rise to the claim.

Governing Law

This Authorization shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles.

Entire Agreement

This Authorization, including any exhibits or written orders signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. Any modification must be in writing and signed by both parties.
