BEAUTY BUSINESS AGREEMENT

This Beauty Business Agreement (Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Service Provider operates a beauty services business providing treatments, styling, and related services and has the expertise, personnel and equipment necessary to perform the services described herein; and

WHEREAS, Client desires to engage Service Provider to perform beauty services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their mutual rights and obligations with respect to the provision of such services.

SCOPE OF WORK

Service Provider shall perform the beauty services, treatments and deliverables described below. The parties shall attach any specific service menus, price lists or addenda as exhibits to this Agreement and such exhibits shall be incorporated by reference.

PAYMENT TERMS

Client shall pay Service Provider for services in accordance with the terms set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

TERM; TERMINATION

This Agreement commences on and terminates on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party provided at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party that remains uncured after ten (10) days' written notice specifying the breach.

CONFIDENTIALITY

During the term of this Agreement and for a period of following termination, each party shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party. Confidential Information includes non-public business information, pricing, client lists, formulas, trade secrets, and medical or personal client data. Confidential Information does not include information that is publicly known or rightfully received from a third party without restriction.

The receiving party shall use at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination, the receiving party shall return or certify destruction of Confidential Information upon request.

INSURANCE; COMPLIANCE; INDEMNITY

Service Provider shall maintain commercial general liability insurance and professional liability insurance in commercially reasonable amounts and provide proof of insurance upon request. Service Provider warrants that it shall comply with applicable health, safety and licensing requirements.

Each party shall indemnify and defend the other from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, provided that the indemnified party provides prompt written notice of claim and cooperates in the defense.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider retains all intellectual property rights in methods, techniques, and materials owned or developed by Service Provider. Any custom designs or work product created specifically for Client and paid in full shall be owned by Client to the extent expressly identified in writing; otherwise, a limited license is granted for Client's internal use only.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes by negotiation prior to initiating legal proceedings.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits and attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest to substantially all of its business.

REPRESENTATIONS

Each party represents and warrants that it has the full power and authority to enter into and perform this Agreement, that execution and performance will not violate any agreement with third parties, and that the representations are true and correct as of the Effective Date.
