Inspections, Remedies, and Responsibilities

Buyer/Tenant is advised to conduct any investigations or inspections deemed necessary to confirm the presence or absence of bed bugs. If a material infestation is discovered after execution of the Agreement but prior to Closing (for purchase) or prior to commencement of occupancy (for lease), the parties agree as follows:

Buyer/Tenant shall provide written notice to Seller/Landlord promptly upon discovery. Seller/Landlord shall have a reasonable opportunity, not to exceed 14 calendar days after receipt of notice, to inspect and, if required, to arrange and pay for treatment by a licensed pest control professional as necessary to remediate the infestation.

Except where the Agreement specifies otherwise, Seller/Landlord shall be responsible for reasonable costs directly associated with inspection and professional treatment required to remediate a confirmed bed bug infestation existing and undisclosed by Seller/Landlord as of the date of this Addendum. Buyer/Tenant agrees to mitigate further spread and to follow pest control professional instructions. Seller/Landlord shall indemnify and hold Buyer/Tenant harmless from reasonable remediation costs arising from material nondisclosure by Seller/Landlord, provided Buyer/Tenant complies with the notice and cure provisions above.

Seller/Landlord makes no warranty that treatment will permanently prevent future bed bug occurrences. Costs for replacement of personal property, relocation, or incidental damages may be recoverable only to the extent the parties expressly agree in writing or as provided by applicable law. This Addendum does not limit remedies provided by statute for fraud or willful misrepresentation.

Seller / Landlord Representations

Seller/Landlord represents and warrants, to the best of Seller/Landlord's knowledge as of the date of signature below, that the information provided in this Addendum is true and complete. Seller/Landlord acknowledges that material misrepresentation or omission regarding bed bug activity may subject Seller/Landlord to statutory remedies and contractual damages.

Buyer / Tenant Acknowledgment

Buyer/Tenant acknowledges receipt of this Bed Bug Disclosure Addendum and understands the disclosures and remedies described herein. Buyer/Tenant further acknowledges the opportunity to obtain independent inspection and testing prior to Closing or taking possession.

Miscellaneous

This Addendum constitutes the entire agreement between the parties with respect to bed bug disclosure and supersedes any prior oral or written statements relating to bed bug activity at the Property. No amendment of this Addendum is effective unless in writing and signed by both parties.

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.
