BENEFICIAL INTEREST ASSIGNMENT AGREEMENT

This Beneficial Interest Assignment Agreement (the Agreement) is made as of , by and between Assignor Name: whose address is (Assignor), and Assignee Name: whose address is (Assignee).

RECITALS

WHEREAS, Assignor is beneficially entitled to certain rights, interests and benefits in and to the entity or asset described as: (the Beneficial Interest); and

WHEREAS, Assignor desires to assign, convey and transfer to Assignee, and Assignee desires to accept, all or a portion of the Beneficial Interest on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that such assignment effectuate the transfer of beneficial ownership as provided herein, subject to the rights and obligations set forth in any organizational or governing documents applicable to the Beneficial Interest.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ASSIGNMENT AND TRANSFER

1.1 Assignment. Subject to the terms and conditions of this Agreement, Assignor hereby irrevocably assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in and to the Beneficial Interest described above to the extent of (the Assigned Interest), together with all rights to receive distributions, allocations, voting rights (to the extent transferable), and other economic and contractual benefits attributable to the Assigned Interest, effective as of the Effective Date.

1.2 Scope. The assignment operates to transfer the beneficial ownership interest only and does not, except as expressly provided herein, release Assignor from any obligations arising prior to the Effective Date unless expressly assumed by Assignee in writing.

2. CONSIDERATION

2.1 Consideration. In consideration for the assignment and transfer described in Section 1, Assignee shall pay to Assignor the amount of (Consideration), payable as follows:

2.2 Acknowledgement of Receipt. Assignor acknowledges receipt of the Consideration or the obligation thereof, and affirms that such Consideration constitutes good and valuable consideration sufficient to support this Agreement.

3. REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

Assignor represents and warrants to Assignee as of the Effective Date that:

(a) Assignor is the lawful beneficial owner of the Assigned Interest free and clear of all liens, pledges, encumbrances, security interests and adverse claims, except as expressly disclosed in writing to Assignee prior to the Effective Date and described here:

(b) Assignor has full power and authority to enter into and perform this Agreement, and the execution and delivery hereof by Assignor does not and will not (i) violate any applicable law, regulation, or contractual obligation to which Assignor is subject, or (ii) require the consent of any third party, except for consents already obtained and listed above.

4. REPRESENTATIONS AND WARRANTIES OF ASSIGNEE

Assignee represents and warrants to Assignor that Assignee has full corporate or individual power and authority to enter into this Agreement and to accept the Assigned Interest, that the execution and performance of this Agreement will not violate any agreements or laws binding on Assignee, and that Assignee has the financial ability to perform its obligations hereunder.

5. FURTHER ASSURANCES

From time to time after the Effective Date, at the request and cost of Assignee, Assignor shall execute and deliver such further instruments and take such further actions as may be reasonably necessary or desirable to effectuate the purposes of this Agreement, including execution of assignments, acknowledgements, consents and amendments to organizational or governing documents to reflect the transfer of the Assigned Interest.

6. TAXES AND EXPENSES

Unless otherwise agreed in writing, any transfer taxes, filing fees, and governmental charges (and any penalties or interest thereon) arising from or relating to the assignment shall be borne by Assignor Assignee.

7. INDEMNIFICATION

Assignor shall indemnify, defend and hold harmless Assignee from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations, warranties or covenants contained in this Agreement. Assignee shall indemnify Assignor for breaches of Assignee's representations, warranties or covenants.

8. CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party the terms of this Agreement and any nonpublic information received from the other party in connection with the negotiation or performance of this Agreement, except as required by applicable law, court order, or the reasonable need to perform its obligations hereunder.

9. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice:

10. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The failure of a party to insist upon strict performance of any covenant or condition shall not be construed as a waiver of such covenant or condition. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

11. SEVERABILITY; ENTIRE AGREEMENT; GOVERNING LAW

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

12. MISCELLANEOUS

12.1 Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and permitted assigns. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Assignee may assign to an affiliate provided Assignee remains liable for performance.

12.2 Remedies. The parties acknowledge that monetary damages may be inadequate to compensate for a breach of this Agreement and that, in addition to other remedies, a party shall be entitled to seek specific performance or injunctive relief to enforce the terms hereof.

12.3 Interpretation. The headings in this Agreement are for convenience only and shall not affect the interpretation. References to "including" or "include" shall be deemed to mean "including, without limitation" and shall not be construed to limit the generality of any preceding term.
