BENEFICIAL OWNER ADDENDUM FORM

RECITALS

WHEREAS, the Recipient requires the Company to disclose information regarding the Company's beneficial owners in order to satisfy applicable anti-money laundering and beneficial ownership compliance obligations; and

WHEREAS, the Company represents that it is an entity subject to such requirements and is willing to provide, and certify the accuracy of, the information about its beneficial owners; and

WHEREAS, the Parties desire to set forth the terms under which Beneficial Owner information is provided, used, and updated.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Addendum, the following terms shall have the meanings set forth below:

"Beneficial Owner" means, with respect to the Company, each natural person who directly or indirectly owns 25% or more of the equity interests of the Company or otherwise exercises substantial control over the Company, including by means of senior executive positions or other mechanisms of control.

"Confidential Information" means any non-public information provided pursuant to this Addendum concerning Beneficial Owners, subject to the exceptions set forth in Section 6.

2. BENEFICIAL OWNER DISCLOSURE

The Company hereby discloses the following information for each Beneficial Owner identified below. The Company warrants that the information provided is true, correct and complete to the best of its knowledge as of the Effective Date.

3. REPRESENTATIONS, WARRANTIES AND CERTIFICATIONS

The Company represents and warrants that (a) the list of Beneficial Owners provided in Section 2 includes each natural person who, to the best knowledge of the Company, is a Beneficial Owner as defined herein; (b) the information supplied for each Beneficial Owner is true, correct and complete as of the Effective Date; and (c) the Company will promptly notify the Recipient in writing of any material change to the information disclosed under this Addendum.

The Company further certifies, under penalty of law, that the information provided in this Addendum is accurate and that the Company understands that the Recipient may rely on such information for compliance and recordkeeping purposes.

4. UPDATES AND NOTICE OBLIGATION

The Company shall provide written notice to the Recipient of any change in the identity or status of any Beneficial Owner, or any correction to information previously provided, within 30 days of the date the Company becomes aware of such change.

5. USE, CONFIDENTIALITY AND DISCLOSURE

The Recipient shall treat the information provided pursuant to this Addendum as Confidential Information and shall use it solely for the purposes of regulatory compliance, due diligence, or other legitimate business purposes. The Recipient may disclose such information to its affiliates, agents, or professional advisors who have a need to know and who are bound by confidentiality obligations. The Recipient may also disclose information where compelled by applicable law, regulation or valid legal process, provided, where practicable, that it gives the Company prior written notice of such compelled disclosure.

6. INDEMNIFICATION

The Company shall indemnify, defend and hold harmless the Recipient and its officers, directors and employees from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) incurred by the Recipient arising out of or relating to any inaccuracy, omission or breach of any representation, warranty or certification made by the Company in this Addendum.

7. NOTICES

All notices required or permitted under this Addendum shall be in writing and delivered to the addresses provided in the opening paragraph or to such other address as either Party may designate in writing. Notice shall be deemed given upon receipt if delivered by hand or by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, certified or registered.

8. AMENDMENTS; WAIVER

No amendment or waiver of any provision of this Addendum shall be effective unless set forth in a written instrument signed by both Parties. The failure of either Party to enforce any provision of this Addendum shall not constitute a waiver of that or any other provision.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Addendum shall be governed by and construed in accordance with the laws of the jurisdiction in which the Recipient is organized, without regard to conflict of law principles. If any provision of this Addendum is determined to be invalid or unenforceable, such provision shall be severed and the remainder of this Addendum shall remain in full force and effect. This Addendum, together with any underlying agreement between the Parties to which it is attached, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and writings.

10. COUNTERPARTS

This Addendum may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic signatures shall be deemed to have the same legal effect as originals.
