What a Best & Final Agreement Is

The Best & Final Agreement (BFA) is a formal submission used primarily in competitive procurement and other transaction settings where respondents present a final, definitive offer for evaluation. It replaces iterative negotiation rounds by capturing final pricing, deliverables, exceptions, and any limiting conditions the bidder will accept. BFAs are intended to create a clear record for evaluators and contracting officers; when accepted and incorporated into an award or contract, the BFA’s terms may govern performance and payment obligations.

Why a Clear, Well-Drafted BFA Matters

A Best & Final Agreement narrows outstanding terms, creates a clear record of a bidder's final commitments, and streamlines award decisions. It reduces negotiation cycles and supports transparent evaluation, but should be drafted to preserve legal enforceability under applicable contract law and procurement rules.

Why a Clear, Well-Drafted BFA Matters

Who Typically Prepares and Signs a BFA

Who completes a Best & Final Agreement varies by process: procurement officials, bidder representatives, and contracts counsel commonly participate.

  • Procurement officers — issue and evaluate BFAs according to solicitation rules and evaluation criteria.
  • Bidders' authorized representatives — submit final offers and attest to pricing and terms.
  • Legal or contracts counsel — review enforceability, approval delegations, and disclosure obligations.

Ensure signatories have authority and that internal approvals are documented before submission to avoid rejection or later disputes.

Essential Elements to Include in a Professional BFA

A professional Best & Final Agreement clearly documents final commercial terms, exceptions, and execution details to allow objective evaluation and smooth contract formation.

Final Pricing

Specify total contract price, unit prices, taxes, and any conditional adjustments. Clarify whether rates are fixed for the contract term and address currency and invoicing practices to prevent later disputes.

Deliverables

Include a detailed list of deliverables, acceptance criteria, milestones, and schedules. Attach exhibits or statements of work to ensure measurable performance and reduce interpretation issues during evaluation and execution.

Exceptions

Document any exceptions to solicitation terms with precise language. Broad or ambiguous exceptions risk disqualification; quantify impact on pricing, schedule, or scope to assist evaluators.

Representations

Include representations and warranties about authority, compliance, and financial capacity. Accurate statements limit post-award challenges and support due diligence and contract performance monitoring and reporting.

Signature

Provide a full execution block with printed name, title, capacity, and date. Note whether electronic signatures are acceptable and identify authorized signers or delegated authority.

Attachments

Attach supporting documents such as pricing worksheets, compliance certificates, proof of insurance, and any required licenses. Label exhibits clearly and reference them within the main agreement.

Step-by-Step: Prepare and Submit a BFA

Follow these steps to prepare and submit a Best & Final Agreement correctly, timely and in compliance with the solicitation.

  • 01
Prepare: Assemble exhibits, pricing, approvals, and execution authorities.
  • 02
Confirm Authority: Verify signatory has delegated authority and any required internal approvals.
  • 03
Complete Terms: State final pricing, deliverables, schedule, and any exceptions.
  • 04
Submit: Follow the solicitation's submission method and retain proof of delivery.

Common Preparation Pitfalls to Avoid

  • Submitting a BFA with incomplete approval documentation can result in disqualification or delayed award; confirm delegation of authority and attach internal sign-off evidence.
  • Vague exception language often causes evaluators to interpret bids unfavorably; quantify exceptions and explain exact impact on scope, schedule, or cost.
  • Failing to declare conditional pricing or contingent assumptions can lead to later claims and complicate contract enforceability during performance.
  • Relying on handwritten signatures or unsecured transmission increases risk; use auditable electronic signing and preserve the execution certificate.
