BEVERAGE ORDER FORM AND SUPPLY AGREEMENT

WHEREAS — Recitals

WHEREAS, Supplier is engaged in the production, bottling and wholesale distribution of non-alcoholic beverages and related packaging, and holds requisite licenses and facilities to supply such products; and

WHEREAS, Buyer desires to purchase from Supplier certain beverage products on the terms and conditions set forth in this Beverage Order Form and Supply Agreement, and Supplier agrees to supply such products pursuant to the Order Details and Payment Terms below.

Scope of Work

Supplier shall manufacture, package and deliver the beverage products identified in the Itemized Products section in accordance with the specifications, quantities and delivery schedule set forth in this Order. Supplier shall comply with all applicable food safety, labeling and transportation requirements.

Payment Terms

Buyer shall pay Supplier in accordance with the following terms. Unless otherwise set forth in a mutually executed written amendment, the terms below apply to this Order.

Term and Termination

This Agreement begins on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for cause on material breach if the breaching party fails to cure within days after written notice.

Delivery and Acceptance

Supplier shall deliver Products to the delivery address. Title and risk of loss shall pass upon delivery to Buyer unless parties agree otherwise in writing. Buyer shall inspect delivered Products and notify Supplier in writing of any nonconformity or shortage within days of receipt; failure to timely notify shall constitute acceptance.

Confidentiality

Each party (the Receiving Party) shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the Disclosing Party). "Confidential Information" means non-public business, technical, pricing or product information disclosed in connection with this Agreement. Confidential Information does not include information that is lawfully known by the Receiving Party prior to disclosure, becomes publicly available through no fault of the Receiving Party, or is independently developed.

The Receiving Party shall use Confidential Information solely for performance under this Agreement and shall limit access to those employees or agents with a need to know. This obligation shall survive termination of this Agreement for a period of two (2) years unless a longer statutory period applies.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, personal injury or breach of confidentiality, each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total amounts paid or payable under the specific Order giving rise to the claim. Neither party shall be liable for consequential, incidental, punitive or special damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the selected state for disputes arising out of this Agreement.

Entire Agreement

This Beverage Order Form and Supply Agreement, together with any referenced attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, proposals and agreements. No amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all its assets. Notices must be in writing and delivered to the contact information provided above.

Tax and Compliance

Buyer is responsible for applicable taxes unless Buyer provides Supplier with a valid tax exemption certificate prior to shipment. Supplier represents that products will be produced in compliance with applicable food safety laws and regulations.
