Beverage Recipe Margarita — Assignment and Licensing Agreement

This Beverage Recipe Assignment and Licensing Agreement (the Agreement) is made effective as of by and between Licensor Name: with principal place of business at (Licensor), and Licensee Name: with principal place of business at (Licensee).

WHEREAS

WHEREAS, Licensor has developed and owns confidential know-how, proprietary formulations and trade secrets pertaining to a beverage recipe commonly referred to as a Margarita (the Recipe), including ingredient proportions, preparation techniques, and quality control procedures; and

WHEREAS, Licensee desires to obtain rights to use the Recipe in accordance with the terms of this Agreement, and Licensor is willing to assign and/or license certain rights in the Recipe subject to payment and confidentiality obligations set forth herein.

WHEREAS, the parties intend by this Agreement to set forth the scope of the license, compensation, confidentiality protections, and other commercial terms governing the Recipe.

SCOPE OF WORK; RECIPE DETAILS

LICENSE GRANT; INTELLECTUAL PROPERTY

Licensor hereby grants to Licensee a non-exclusive / exclusive (select applicable) license to use the Recipe only as expressly set forth in this Agreement. Select exclusivity: Exclusive Non-exclusive

Licensor retains all right, title and interest in and to the underlying Recipe, methods, and trade secrets except as expressly assigned in writing. Any assignment of ownership must be expressly set forth in Section 11 by written amendment signed by both parties.

PAYMENT TERMS

TERM AND TERMINATION

The term of this Agreement shall commence on and shall expire on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement upon material breach by the other party if such breach is not cured within after written notice. Upon termination, Licensee shall cease all use of the Recipe and, at Licensor's election, return or destroy all confidential materials.

CONFIDENTIALITY

The parties acknowledge that the Recipe, ingredient proportions, sourcing, and preparation protocols constitute Confidential Information. Each party shall (i) hold Confidential Information in strict confidence, (ii) use it solely for the purposes permitted under this Agreement, and (iii) not disclose it to third parties except to employees, contractors or professional advisors who have a need to know and are bound by confidentiality obligations no less protective than those contained herein.

Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the other party's Confidential Information.

REPRESENTATIONS; INDEMNIFICATION

Each party represents that it has the full right and authority to enter into this Agreement. Licensor represents that to the best of its knowledge the Recipe does not infringe third-party intellectual property rights. Licensee shall indemnify, defend and hold harmless Licensor from any third-party claims arising from Licensee's commercialization, labeling, or sale of products made using the Recipe, except to the extent such claims arise from Licensor's gross negligence or willful misconduct.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, breach of confidentiality, or indemnification obligations, neither party shall be liable for consequential, incidental or punitive damages. The aggregate liability of either party shall not exceed the total fees actually paid under this Agreement during the twelve (12) months preceding the claim.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles. The parties agree to attempt good faith negotiation of any controversy or claim arising out of this Agreement prior to pursuing formal legal action.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including its defined schedules and exhibits, constitutes the entire agreement between the parties with respect to the Recipe and supersedes all prior and contemporaneous understandings. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall continue in full force and effect. Failure to enforce any right shall not constitute a waiver. The parties are independent contractors and nothing in this Agreement creates an agency, partnership, or joint venture.
