What a Bid Security Agreement Is and when it’s used

A Bid Security Agreement is a formal guarantee submitted with a procurement bid that protects the buyer if the selected bidder refuses or fails to enter into the contract. Common forms include bid bonds issued by surety companies, certified or cashier’s checks, and retained deposit instruments. The agreement identifies the bidder, beneficiary (contracting authority), the security amount or percentage, effective and expiry dates, and the conditions under which the security may be forfeited. It is standard in public and many private construction, services, and goods procurements in the United States.

Why a Bid Security Agreement matters to buyers and bidders

A Bid Security Agreement demonstrates bidder commitment, reduces the risk of award refusal, and compensates the procuring entity for re-solicitation costs if a successful bidder defaults. It promotes fair competition and protects public and private buyers by ensuring bidders are financially accountable.

Why a Bid Security Agreement matters to buyers and bidders

Who typically prepares, submits, and signs bid securities

The Bid Security Agreement is used by a range of contracting parties across industries; different users have distinct responsibilities when preparing or accepting these documents.

  • General contractors and subcontractors — submit bid security to qualify for construction contracts and public works bids.
  • Procurement officers and contracting authorities — verify security format, amount, and expiry before awarding contracts.
  • Surety companies and banks — issue bonds or certified instruments and confirm issuer authentication to beneficiaries.

Roles vary by transaction: bidders must secure valid instruments and authorized signatures; beneficiaries must verify issuer solvency and compliance with solicitation requirements before accepting the bid security.

Essential components to include in a professional Bid Security Agreement

A complete Bid Security Agreement is structured to be readily verifiable by the beneficiary and includes the instrument type, issuer details, and precise forfeiture triggers.

Security Amount

Specify the guaranteed sum or percentage of the bid price and whether it is payable on demand or by claim procedures; avoid vague ranges.

Instrument Type

Identify whether the security is a bid bond, cashier’s check, certified check, or other approved instrument and include the instrument reference number if available.

Issuer Details

Provide the surety or issuing bank name, address, contact, and license or NAIC number when applicable for quick verification.

Beneficiary

Name the contracting entity exactly as it appears in the solicitation; mismatches can invalidate the security for enforcement purposes.

Effective and Expiry Dates

Include precise start and expiration dates for the security and any automatic extension provisions tied to award timelines.

Forfeiture Conditions

State the specific events that trigger forfeiture, the claim process, documentation required, and any notice periods for the issuer to respond.

Key required fields in the Bid Security Agreement

Bidder Name: Full legal name
Bid Amount: Numeric value with currency
Security Type: Bond or check
Issuer Name: Surety or bank
Beneficiary: Exact contracting authority
Validity Dates: Start and expiry

Step-by-step: preparing and submitting a Bid Security Agreement

Follow these sequential actions to prepare a compliant bid security and reduce the risk of rejection during bid opening.

  • 01
Assemble documents: Gather bid, bond/check, and issuer verification documents.
  • 02
Complete fields: Fill all required data exactly as instructed.
  • 03
Obtain signatures: Have authorized representative and, if required, surety sign.
  • 04
Deliver and confirm: Submit per solicitation and obtain receipt or portal confirmation.

How to configure an online Bid Security workflow

Set up an online process that matches the procurement’s submission rules and ensures secure, auditable delivery.

Field Configuration
Upload document Accept PDF/DOCX; preserve original formatting
Signature fields Place signature, date, and initials for each signer
Authentication Use email or SMS code; add KBA for higher assurance
Notifications Auto-send signed copy to beneficiary and bidder

Where to send or file the signed Bid Security Agreement

Common submission destinations depend on whether the solicitation uses a procurement portal, email, or physical delivery.

  • Procurement portal: Upload according to portal instructions
  • Email submission: Send to procurement contact with required attachments
  • Physical delivery: Hand-deliver or courier certified check if specified
  • Beneficiary records: Confirm receipt and retention by contracting office

Technical considerations for electronic Bid Security Agreements

Use an e-signature platform that supports required file formats, authentication, and audit trails to match solicitation rules.

  • File formats: PDF, DOCX supported
  • Integrations: CRM/ERP connectors like Salesforce or NetSuite
  • Authentication: Email, SMS, KBA, or advanced signer ID

Platforms that provide tamper-evident signed PDFs, detailed audit trails, and integration with procurement systems can simplify verification without changing legal effect.

Key deadlines and validity windows to watch

Track submission cutoffs and security validity to avoid disqualification or invalid claims.

Bid submission deadline:

Must meet the solicitation date/time exactly

Bond validity period:

Security must remain effective through award period

Claim period:

Beneficiary must submit claim per bond terms

Protest deadlines:

Respond to bid protests per procurement rules

Contract award date:

Award may trigger security release or forfeiture

Typical bid lifecycle and milestone sequence

Outlined below are the sequential milestones from solicitation to contract award where the bid security is active or reviewed.

01

03

Common preparation errors to avoid

  • Using an incorrect beneficiary name or solicitation number, which often causes rejection during verification.
  • Submitting an expired bond or one that does not extend through the award period required by the solicitation.
  • Failing to include the surety’s licensing or bond number, making it hard for the beneficiary to verify authenticity.
  • Providing unsigned or partially completed instruments; missing signature or title lines invalidate many bid securities.

Consequences and risks tied to deficient or incorrect bid securities

Forfeiture: Funds paid to beneficiary
Bid rejection: Proposal removed from consideration
Debarment risk: Possible procurement suspension
Financial liability: Payer bears substitution costs
Contract default: Penalties under contract terms
Legal disputes: Costly enforcement litigation
