BIKE BUILDING AGREEMENT

RECITALS

WHEREAS, Client desires to engage Builder to design, procure components, assemble, tune, and deliver a custom bicycle in accordance with the specifications set forth in this Agreement; and

WHEREAS, Builder represents that it has the technical skill, experience and facilities necessary to perform the bicycle build and associated services, and agrees to perform such services subject to the terms and conditions set forth herein; and

WHEREAS, the parties desire to reduce their agreement to writing and set forth the respective rights and obligations of each party with respect to the bicycle build.

SCOPE OF WORK

Builder shall perform all labor, procurements and services necessary to complete the custom bicycle build, including but not limited to frame preparation, component installation, cable routing, wheel building, braking and drivetrain setup, final safety inspection, and test riding. Detailed deliverables, tolerances and acceptance criteria are described below and in the Component List and Acceptance Criteria.

COMPONENTS / ITEMIZED BUILD LIST

The following components shall be procured and/or installed by Builder unless otherwise specified. Any substitution of equal or better quality requires Client approval in writing.

ACCEPTANCE CRITERIA

Upon completion, Builder shall notify Client in writing. Client shall have calendar days to inspect and either accept the build or provide a written list of defects. If Client does not provide a written rejection within that period, the work shall be deemed accepted.

PAYMENT TERMS

Client shall pay Builder the total contract price in accordance with the payment schedule below. All payments are due within the stated period following invoice.

Late payments shall accrue interest at on the outstanding balance, compounded monthly, or the maximum permitted by law, whichever is less.

WARRANTY; LIMITATION OF LIABILITY

Builder warrants that workmanship for the assembled bicycle will be free from defects for a period of days from the date of Client acceptance. This warranty does not cover damage due to accident, misuse, normal wear, or modifications by parties other than Builder.

To the maximum extent permitted by law, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The parties' aggregate liability for any claim arising under this Agreement shall not exceed the total amount paid by Client to Builder under this Agreement.

CHANGES; EXTRAS

Any changes to the Scope of Work, including component substitutions or additional services, shall be executed only by written Change Order signed by both parties, specifying adjustments to price, schedule and delivery.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for calendar days after written notice. Termination for convenience by Client requires days' prior written notice and payment for all work performed and components procured up to termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly known, rightfully received from a third party without restriction, independently developed without use of the other's Confidential Information, or required to be disclosed by law.

The obligations of confidentiality shall survive termination of this Agreement for years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Client shall retain ownership of Client-provided designs and specifications. Builder shall retain ownership of Builder's preexisting tools and confidential processes. Any custom designs or setup routines created specifically for Client under this Agreement shall be considered work made for hire and ownership shall vest in Client upon full payment.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating formal proceedings.

ENTIRE AGREEMENT

This Agreement, together with any Change Orders and written attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

No amendment to this Agreement shall be effective unless in writing and signed by both parties.
