BIKER TOUR AGREEMENT

This Biker Tour Agreement ("Agreement") is entered into by and between Tour Operator: , principal place of business: , and Participant Name: , participant address: .

WHEREAS

WHEREAS, the Tour Operator arranges, organizes and leads guided motorcycle tours, including route planning, logistics, and support services; and

WHEREAS, the Participant desires to enroll in and participate in the specified biker tour on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement memorialize their respective rights, responsibilities, and the allocation of risk associated with the tour.

RESPONSIBILITIES

Operator Responsibilities: The Tour Operator will provide qualified guides, support vehicle(s) as described, route guidance, and emergency coordination. The Operator will use commercially reasonable efforts to maintain the announced itinerary but may alter routes, accommodations, or schedules when safety, weather, mechanical issues, or other operational considerations require modification.

Participant Responsibilities: The Participant certifies that they hold a valid motorcycle license appropriate to the motorcycle operated, that their motorcycle is mechanically fit and insured, and that they will comply with all instructions, laws and safety requirements, including wearing approved protective gear and helmets at all times while riding.

PAYMENT TERMS

Late Payment: Payments not received by the due date will incur a late fee of of the outstanding balance per month, and interest at the lesser of 1.5% per month or the maximum permitted by law.

CANCELLATION AND REFUNDS

Participant Cancellation: If Participant cancels more than days prior to the start date, the Participant will be refunded minus the deposit. Cancellations within days are non-refundable. Operator reserves the right to cancel due to insufficient enrollment, unsafe conditions, or force majeure, in which case Operator will either refund payments or offer an alternative tour.

CONFIDENTIALITY

Definition: For purposes of this Agreement, "Confidential Information" means non-public technical, operational, logistical and commercial information disclosed by the Operator to the Participant, including route maps, safety briefings, detailed itineraries, pricing structures, vendor contact information, and other materials marked or reasonably understood to be confidential.

Obligations: The Participant shall not use or disclose Confidential Information except as necessary to participate in the tour, and shall take reasonable measures to protect such information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, is independently developed without reference to Confidential Information, or is required to be disclosed by law.

LIABILITY, INSURANCE AND INDEMNITY

Assumption of Risk: The Participant acknowledges that motorcycle touring presents inherent risks, including but not limited to traffic hazards, road conditions, mechanical failure, and weather. The Participant voluntarily assumes all risks associated with participation.

Waiver and Release: To the fullest extent permitted by law, Participant releases, waives, discharges and agrees not to sue the Tour Operator, its owners, employees, agents and contractors for any injury, death, property damage or loss arising from Participant's participation, except for willful misconduct or gross negligence by the Operator.

Indemnity: Participant shall indemnify, defend and hold harmless the Operator from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Participant's negligent acts, omissions, or breach of this Agreement.

Insurance: Participant agrees to maintain at all times valid liability and property insurance covering Participant's motorcycle and personal liability in amounts sufficient to cover potential claims. Proof of insurance may be requested by Operator prior to the tour.

TERM AND TERMINATION

Term: This Agreement begins on the date signed below and covers the period commencing on and ending on for the scheduled tour.

Termination for Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure within days after receipt of written notice. Termination shall not relieve Participant of payment obligations accrued prior to termination, except as expressly provided herein.

Notice: Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Dispute Resolution: The parties agree to attempt to resolve disputes in good faith through negotiation. If unresolved within days, disputes may be submitted to mediation or binding arbitration as the parties may mutually agree; otherwise, a party may pursue available legal remedies.

ENTIRE AGREEMENT; MISCELLANEOUS

Entire Agreement: This Agreement, including any attachments or written confirmations, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, representations and warranties, whether written or oral.

Amendment and Severability: This Agreement may be amended only by a writing signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Each party represents and warrants that it has the legal capacity to enter into this Agreement and that the person signing below is authorized to bind the party to the terms herein.
