Taxes, Expenses and Adjustments

Disputes, Credits and Late Payment

Client must notify Provider of any disputed invoice item in writing within days of the invoice date. Failure to timely dispute constitutes acceptance of the invoice. Provider may apply a late fee of % per month on past-due balances, not to exceed % per annum.

Term, Suspension and Termination

This Agreement shall commence on the Effective Date and continue until terminated by either party upon days' prior written notice. Provider may suspend services or withhold delivery of invoices where Client is delinquent or otherwise materially breaches this Agreement.

Each party shall maintain the confidentiality of the other's non-public information and shall implement reasonable administrative, technical and physical safeguards to protect payment and personal data processed under this Agreement.

Governing Law and Remedies

This Agreement shall be governed by the laws of the state of without regard to conflict-of-law principles. In the event of default, Provider's remedies include collection of unpaid amounts, interest, and recovery of collection costs and attorneys' fees where permitted by law.
