Effective Date and Recitals

This Billing Services Agreement (the Agreement) is entered into as of (Effective Date), by and between the Service Provider identified above and the Client identified above. Provider is engaged in the business of providing billing, invoicing and payment processing services, and Client desires to retain Provider to perform such services under the terms set forth herein.

Scope of Services

Provider will deliver billing services as described in the Fee Schedule and Service Description below. Services shall include preparation and delivery of invoices, collection of payments, posting of payments to Client accounts, and remittance of collected funds to Client less any permitted deductions. Provider shall perform services in accordance with generally accepted industry standards and applicable law.

Provider will charge the fees set forth below. Client authorizes Provider to deduct fees and authorized expenses from collected payments prior to remittance unless otherwise agreed in writing.

Billing Frequency:

Payment Terms: Client shall pay Provider within days from invoice date. Past due amounts shall accrue a late fee of or the maximum permitted by law, whichever is less.

Invoice Disputes

Client must notify Provider in writing of any disputed invoice items within days of invoice receipt. Failure to timely notify is a waiver of the dispute. Undisputed portions remain payable when due.

Taxes and Withholding

All fees are exclusive of taxes. Client is responsible for any sales, use, value-added or other taxes imposed on services, unless Client provides a valid exemption certificate. Provider will collect and remit taxes where required by law.

Term; Termination

This Agreement commences on the Effective Date and continues for an initial term of months, and thereafter renews automatically for successive terms of the same duration unless either party provides written notice of non-renewal at least days prior to the end of the then-current term. Either party may terminate for material breach if the breach remains uncured for thirty (30) days following written notice.

Confidentiality and Data Security

Provider shall treat Client account data and payment information as Confidential Information and shall implement administrative, technical and physical safeguards reasonably designed to protect such information from unauthorized access, use or disclosure. Provider will comply with applicable data protection and payment card industry security requirements.

Indemnification; Limitation of Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising from the indemnifying party’s breach of this Agreement, negligence, or willful misconduct. Except for claims arising from gross negligence, willful misconduct, or indemnification obligations, neither party’s aggregate liability shall exceed the total fees paid or payable to Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to attempt to resolve disputes in good faith prior to initiating litigation.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact addresses provided above by certified mail, courier, or email with confirmation to the party’s designated representative.

Amendment; Entire Agreement

This Agreement may be amended only by a written instrument executed by authorized representatives of both parties. This Agreement, together with the Fee Schedule, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and representations.
