Authorization: By complying with these instructions, Payer authorizes Billing Company to receive payments according to the payment methods selected above and to apply payments to the invoice(s) specified. Authorization includes the initiation of electronic credit and, where applicable, debit entries for amounts authorized by Payer.

Remittance Reference: Payer shall include Invoice Number or Client Account Reference on all transfers, remittance advices, or check stubs. Failure to include required reference(s) may delay application of payment and does not relieve Payer of prompt payment obligations.

Late Payment; Returned Payments: Unless otherwise agreed in writing, past-due amounts shall accrue interest at (or the maximum permitted by law), and Payer shall be liable for administrative fees and any bank charges for returned items.

Change of Instructions: Any change to bank or remittance instructions must be provided in a written notice signed by an authorized representative of Billing Company and confirmed in writing by Payer. No change communicated solely by email or telephone will be effective until confirmed in writing and acknowledged by Billing Company.

Liability and Indemnity: Billing Company will exercise commercially reasonable care in transmitting bank details but is not liable for interception or misdirection of payment caused by third parties. Payer agrees to indemnify and hold harmless Billing Company from claims, losses, or expenses arising from payments made in accordance with these instructions unless resulting from Billing Company's gross negligence or willful misconduct.

Confidentiality: Bank and account information provided herein is confidential and shall be used solely for remittance of amounts due. Payer shall restrict access to such information to personnel with a need to know.
