BIRTHDAY CELEBRATION PLANNING AGREEMENT

RECITALS

WHEREAS, Client desires to engage Planner to provide professional event planning and coordination services in connection with a birthday celebration to be held on at:

WHEREAS, Planner represents that Planner has the skill, experience and personnel necessary to perform the services described in this Agreement in a professional manner; and

WHEREAS, the parties wish to set forth their rights and obligations with respect to the planning and execution of the birthday celebration.

SCOPE OF WORK

PAYMENT TERMS

Late Payment Fee: If any payment required under this Agreement is not received by Planner within days after the due date, Client shall pay interest at a rate of per month on the overdue amount, together with all costs of collection, including reasonable attorneys' fees.

ADDITIONAL COSTS AND EXPENSES

Reimbursable Expenses: Client shall reimburse Planner for reasonable, pre-approved third-party costs and expenses incurred in performance of the services, including but not limited to vendor fees, rentals, permits and travel. Estimated reimbursable expenses:

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the effective termination date. In the event of termination by Client without cause, Planner shall be entitled to retain the deposit and to be paid for all services performed and expenses incurred through the effective date of termination.

CANCELLATION AND REFUND POLICY

If Client cancels the event more than days prior to the event date, Planner will refund amounts paid less non-refundable expenses and a cancellation fee equal to of the total fee. Cancellations within days are non-refundable except for vendor refunds, if any.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may obtain confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to use or disclose it except as necessary to perform under this Agreement or as required by law. Confidential information shall not include information that is or becomes publicly available other than by breach of this Agreement.

INSURANCE, LIABILITY AND INDEMNIFICATION

Planner shall maintain general liability insurance appropriate to the services provided. Planner's liability to Client for any claim arising out of or relating to this Agreement is limited to direct damages not to exceed the total fees paid by Client to Planner under this Agreement. Neither party shall be liable for incidental, consequential, special or punitive damages.

Client shall indemnify, defend and hold Planner harmless from and against any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising from Client's negligence or willful misconduct, or from third-party vendors or invitees brought by Client.

VENDORS, PERMITS AND COMPLIANCE

Planner may engage vendors on behalf of Client. Client is responsible for obtaining any necessary permits, licenses or permissions required for the event unless otherwise agreed in writing. Client shall ensure compliance with venue rules and applicable laws.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including acts of God, government action, strikes, pandemics, civil disturbance, or severe weather. In the event of a force majeure that prevents performance, the parties shall confer promptly to agree on rescheduling, modification or termination with equitable adjustment of fees and expenses.

CHANGES; AUTHORIZATIONS

Client authorizes Planner to enter into contracts with third-party vendors on Client's behalf only after written approval of estimated costs. Planner shall not be responsible for vendor performance or vendor insolvency; Client shall look solely to the vendor for performance of vendor services.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. The parties agree to attempt to resolve disputes in good faith through negotiation prior to initiating formal legal proceedings. If litigation becomes necessary, the parties submit to the jurisdiction of the courts located in the governing state.

ENTIRE AGREEMENT

This Agreement, including any attachments and incorporated statements of work, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings and communications, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
