What the Board Meeting Joint Document Is and When It’s Used

A Board Meeting Joint Document records actions, resolutions, and decisions taken at a joint board meeting of two or more corporate or organizational bodies. It combines attendance, the meeting agenda, motion language, voting outcomes, and any signed resolutions into a single official record. Organizations use a joint document when boards meet together or when two related entities adopt the same resolution concurrently. Properly completed joint documents support corporate governance, establish a clear factual record for minutes and filings, and provide evidence of authority for downstream actions such as contract execution, bank approvals, or regulatory notices.

Step-by-Step: Completing a Board Meeting Joint Document

Follow these sequential steps to prepare, circulate, sign, and archive a joint board record accurately and compliantly.

  • 01
Draft the Agenda: Prepare a clear agenda and proposed resolutions before notice is issued.
  • 02
Confirm Notice and Quorum: Document how notice was given and verify quorum per bylaws and state law.
  • 03
Record Motions and Votes: Write motion language verbatim and capture the full vote tally, including abstentions.
  • 04
Obtain Signatures: Have authorized directors or officers sign and date the final document, noting titles.

Who Typically Prepares and Signs This Document

Final signatures are provided by authorized directors or officers; legal counsel often reviews language for statutory compliance before execution.

  • Corporate boards and board secretaries responsible for governance and minutes.
  • Nonprofit boards and executive directors managing combined board actions.
  • Parent and subsidiary boards coordinating shared resolutions or approvals.
