What a Board Member Responsibilities Agreement Is

A Board Member Responsibilities Agreement is a written contract that records the duties, expectations, term, confidentiality obligations, conflict-of-interest rules, and signature of a director or board member. It supplements corporate bylaws and minutes by creating a clear, enforceable record of the obligations that govern a board member’s conduct, voting responsibilities, committee assignments, and indemnification or reimbursement terms. Organizations use this agreement to align expectations, reduce disputes, and document consent when appointing or reappointing directors. The agreement can be executed electronically where permitted under U.S. law (ESIGN and state UETA statutes).

Why this Agreement Matters for Governance

Using a Board Member Responsibilities Agreement creates clarity about duties, reduces ambiguity in decision-making, documents consent to fiduciary standards, and provides an auditable record of acceptance.

Why this Agreement Matters for Governance

Who Typically Prepares and Signs This Agreement

The agreement is useful for private companies, public companies, nonprofits, and government advisory boards where a written understanding of duties reduces operational and legal risk.

  • Corporate general counsel, to standardize director obligations and manage compliance across the board.
  • Nonprofit executive directors or governance committees, to confirm volunteer expectations and conflict disclosure.
  • New or incoming board members, to acknowledge fiduciary duties and confidentiality provisions prior to participation.
