This Board Member Services Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, the Organization is a duly organized entity that requires qualified individuals to serve on its board of directors and to provide oversight, strategic guidance, and fiduciary duties in accordance with applicable law and the Organization's governing documents; and

WHEREAS, the Board Member possesses the experience and qualifications necessary to perform board-level services and desires to serve on the Organization's board under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to such board service.

Scope of Work

The Board Member shall perform the duties set forth above and any duties reasonably incidental thereto, including attending board and committee meetings, participating in governance and strategic planning, serving on committees as requested, providing oversight of financial and compliance matters, and acting at all times in accordance with fiduciary duties of care, loyalty and good faith.

Compensation and Expenses

As full compensation for services rendered under this Agreement, the Organization shall pay the Board Member as set forth below.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for any reason upon written notice to the other party given in accordance with the Notice provisions below. The Organization may terminate this Agreement immediately for cause, including material breach, gross negligence, willful misconduct, or violation of law or fiduciary duty. Upon termination, the Board Member shall be entitled to any unpaid compensation accrued through the effective date of termination, subject to set-off for any amounts owed to the Organization.

Confidentiality

The Board Member acknowledges that during the course of service the Board Member will receive or have access to Confidential Information of the Organization. "Confidential Information" includes nonpublic information regarding the Organization's operations, donors, financials, strategic plans, proprietary methodologies, and any information designated as confidential. The Board Member shall not disclose or use Confidential Information except as required to perform duties under this Agreement or as required by law. The obligations in this Section shall survive termination of this Agreement for years.

Conflicts of Interest and Compliance

The Board Member shall promptly disclose any actual or potential conflicts of interest to the Organization and shall comply with the Organization's conflict of interest policy and bylaws. The Board Member agrees to comply with all applicable laws, regulations and the Organization's governing documents while performing services hereunder.

Indemnification and Limitation of Liability

The Organization shall, to the fullest extent permitted by law, indemnify and hold harmless the Board Member from and against any and all losses, liabilities, claims, costs and expenses (including reasonable attorneys' fees) incurred in connection with any claim arising out of the good faith performance of Board Member duties, except to the extent resulting from the Board Member's willful misconduct, gross negligence or material breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR FRAUD, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

Insurance

The Organization shall maintain directors and officers liability insurance in an amount reasonably customary for similarly situated organizations and shall provide evidence of such coverage upon the Board Member's reasonable request.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice to the other. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three business days after being deposited in the United States mail, postage prepaid, registered or certified mail.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

Acknowledgment

The parties acknowledge that they have read and understand this Agreement, that they have authority to enter into this Agreement, and that they agree to be bound by its terms.
