BOARD RESOLUTION AGREEMENT

RECITALS

WHEREAS, the Board of Directors of the Company (the "Board") has determined that it is in the best interests of the Company to authorize and approve the corporate actions described herein; and

  2. Engage and terminate agents, advisors, counsel and other third parties as reasonably necessary;
  3. Take any other acts reasonably incidental to the foregoing that are consistent with the Board's intent herein.

3. RATIFICATION OF PRIOR ACTS

All acts, agreements, decisions and transactions heretofore taken by any officer or director of the Company in furtherance of the purposes of this Agreement are hereby ratified, confirmed and approved in all respects. The Board expressly ratifies the actions described in the minutes or records attached to this resolution and authorizes their continued performance.

4. EFFECTIVE DATE AND TERM

This resolution shall be effective as of the date first set forth above and shall remain in force until the earlier of (a) the completion of the authorized actions; or (b) revocation or modification by subsequent resolution of the Board. Notwithstanding the foregoing, any action taken in good faith pursuant to this resolution prior to revocation shall be valid and binding.

5. DELEGATION; RECORDS

The Board delegates authority to the Corporate Secretary to insert this resolution into the minutes of the Board and to prepare and maintain all documents and records necessary to evidence the authorization granted herein. The Corporate Secretary is authorized to certify copies of this resolution to any third party as necessary.
