Each party shall maintain in confidence all Confidential Information disclosed by the other party (whether before or after the Effective Date), shall not disclose such Confidential Information to any third party except as required to perform its obligations under the Agreement, and shall use at least the same degree of care to protect such Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that is (a) publicly available other than through a breach of this Agreement, (b) already known to the recipient without restriction at the time of disclosure, or (c) independently developed by the recipient without reference to the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

ENTIRE AGREEMENT

The Agreement, together with this Resolution and any documents executed pursuant hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification of the Agreement shall be effective unless in writing and executed by authorized representatives of both parties.

DELEGATION AND FURTHER ACTIONS

The board hereby delegates to the officers of the Company the authority to finalize the terms of the Agreement, to execute and deliver the Agreement and all ancillary instruments and documents on behalf of the Company, and to take such further actions as the officers deem necessary or advisable to effectuate the Agreement and the intent of this Resolution. Any actions taken by such officers consistent with this Resolution are ratified and approved.

SEVERABILITY

If any provision of this Resolution or the Agreement is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid, illegal or unenforceable provision with a valid, legal and enforceable provision the economic effect of which comes as close as possible to that of the invalid, illegal or unenforceable provision.
