Inspection; Contingencies

Buyer shall have days from the date of execution of this Agreement to inspect the Vessel at Buyer's expense. Seller shall allow reasonable access for such inspections. If Buyer notifies Seller in writing within the inspection period of material defects that Seller fails to cure, Buyer may terminate this Agreement and receive a full refund of the deposit.

Title, Transfer, Liens and Taxes

Seller represents and warrants that Seller is the legal owner of the Vessel and will convey good and marketable title free and clear of all liens, encumbrances and security interests except as expressly disclosed herein. Seller shall deliver a duly executed bill of sale and the properly endorsed title at closing.

Taxes, Fees and Registration: Buyer shall be responsible for registration, title transfer fees and sales or use taxes assessed at or after closing unless otherwise required by law. Prorations, if any, shall be made as of the Closing Date.

Sale Condition: The Vessel is sold AS IS, WHERE IS, with all faults, and Seller disclaims all implied warranties except as expressly stated below.

Operational Condition: Seller represents that the Seller has no actual knowledge of latent defects not disclosed herein. Seller does not warrant the engine hours, fuel system condition or electrical systems beyond statements in writing made in this Agreement.

Risk of Loss; Insurance

Risk of Loss: Risk of loss or damage to the Vessel shall pass to Buyer upon delivery/possession or closing, as indicated by checked box. If damage occurs prior to the agreed risk transfer and results in material loss, Buyer may rescind or negotiate repair.

Insurance: Seller shall maintain insurance on the Vessel until the transfer of title or as otherwise agreed.

Default and Remedies

If Buyer fails to close in accordance with this Agreement, Seller may retain the deposit as liquidated damages, seek specific performance, or pursue other remedies available at law or equity. If Seller fails to close, Buyer shall be entitled to a return of the deposit and may pursue specific performance or damages. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by written notice. Notices are effective upon hand delivery, courier delivery, or three days after deposit in U.S. mail addressed as provided.

Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Vessel is principally located at time of signing.

Entire Agreement; Amendment: This Agreement constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties.

Severability: If any provision is held invalid, the remaining provisions shall remain in full force and effect.
