Access to the marina and use of facilities is subject to marina rules, reasonable hours, and payment in full of rent and fees. The Lessor may suspend access for nonpayment or material breach without waiving remedies.

Insurance, Indemnity, and Liability

Lessee shall maintain, at Lessee's sole cost, hull and liability insurance covering the vessel, its use, and Lessee's operations while the vessel is in the slip. Minimum limits: general liability $ and hull/physical damage coverage as appropriate. Lessee shall provide proof of insurance upon request.

Lessee expressly assumes all risk of loss or damage to Lessee's vessel and personal property and agrees to indemnify, defend, and hold Lessor harmless from all claims, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from Lessee's use of the slip, except for loss caused by Lessor's gross negligence or willful misconduct.

Maintenance, Repairs and Prohibited Activities

Lessee is responsible for routine maintenance of the vessel while in the slip. Major repairs or hauling for repairs require Lessor's prior written consent. Lessee shall not perform hazardous repairs, discharge pollutants, or store hazardous materials on docks without written approval.

Default, Remedies and Lessor's Lien

Failure to pay rent or other sums when due, or other material breach, constitutes default. On default Lessor may terminate this Agreement, lock access, remove the vessel from the slip at Lessee's expense, and exercise a maritime and possessory lien against the vessel to recover unpaid rent, fees, towing, storage and attorney's fees. Lessor shall provide notice of default as required by law prior to enforcement where law requires notice.

In addition to other remedies, Lessor may sell or dispose of the vessel in accordance with applicable law after providing required notice, applying sale proceeds to sums owed, and accounting for any surplus to Lessee.

Termination and Holdover

Either party may terminate for cause on material breach following any cure period required by law or this Agreement. On holdover, Lessee shall pay holdover rent equal to per day and shall be liable for all damages and costs.

Assignment and Subletting

Lessee shall not assign, sublet or allow use of the slip by third parties without Lessor's prior written consent, which shall not be unreasonably withheld. Unauthorized assignment or subletting is a material breach.

Notices

Notices must be in writing and delivered to the addresses below by hand, certified mail, or other method delivering proof of receipt. Notice is effective upon receipt.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state in which the marina is located. Venue for disputes shall be proper in the courts having jurisdiction over the marina location. The parties waive trial by jury to the extent permitted by law.

This Agreement, together with any written marina rules and written amendments signed by both parties, constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements.
