BOATING AGREEMENT

This Boating Agreement ("Agreement") is entered into effective as of Effective Date: by and between Owner Name: (the "Owner") and Operator Name: (the "Operator").

WHEREAS, Operator desires to use the vessel for Permitted Use(s): subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows:

SCOPE OF USE

PAYMENT TERMS

Late Fee: Operator shall pay a late fee of of the overdue amount, or per day, whichever is greater, commencing five (5) days after written notice of delinquency.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon Notice Period: written notice to the other party. Upon termination, Operator shall immediately cease use of the vessel and return it in substantially the same condition, ordinary wear and tear excepted.

Default: In the event of a material breach by either party, the non-breaching party may terminate after providing written notice and a cure period of Cure Period: to cure the breach. Termination under this paragraph is without prejudice to other remedies available at law or in equity.

INSURANCE AND INDEMNIFICATION

Insurance: Operator shall, at its sole cost, procure and maintain during the term commercial general liability and marine liability insurance and hull insurance with minimum limits of Coverage Minimums: per occurrence, naming Owner as an additional insured where applicable. Proof of insurance shall be provided to Owner before any use.

Indemnification: Operator shall indemnify, defend and hold harmless Owner and its agents, officers and employees from and against all liabilities, claims, losses, damages and expenses (including reasonable attorneys' fees) arising out of Operator's use of the vessel, except to the extent caused by Owner's gross negligence or willful misconduct.

OPERATION AND COMPLIANCE

Operator shall operate the vessel in a safe and seamanlike manner, comply with all applicable federal, state and local laws, ordinances and regulations, and ensure all persons aboard comply with safety procedures. Operator shall not permit operation under the influence of alcohol or controlled substances.

Operator may use the vessel overnight subject to prior written approval of Owner.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information and records of the other party disclosed in connection with this Agreement and shall not disclose such information to any third party except as required by law or as necessary to perform its obligations hereunder. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any modification must be in writing and signed by both parties.
