Either party may terminate this Approval for material breach if the breaching party fails to cure within days' written notice. Termination does not relieve either party of payment obligations accrued prior to termination.

Confidentiality

The parties acknowledge that the BOM and associated specifications may contain Confidential Information. Each party shall: (a) hold Confidential Information in strict confidence; (b) use it only for performance and enforcement of this Approval; and (c) not disclose it except to employees, agents or subcontractors who have a need to know and are bound to similar confidentiality obligations. Confidential information excludes information that is or becomes publicly available through no breach by the receiving party, independently developed without use of the disclosing party's information, or rightfully received from a third party without restriction.

Supplier represents that to the best of its knowledge parts listed on the BOM conform to applicable specifications and are sourced in accordance with agreed supply chain requirements. Each party's remedies for a breach are as set forth in the underlying purchasing terms or, if none exist, under applicable law.

Governing Law; Entire Agreement

This Approval Document shall be governed by and construed in accordance with the laws of the jurisdiction selected by Client at the time of execution. The parties agree that this document, together with any referenced purchase orders and engineering change notices incorporated by reference, constitutes the entire agreement with respect to approval of the BOM and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

Amendment

Any amendment to the approved BOM or this document must be made in writing and signed by authorized representatives of both parties. Minor non-substantive clerical corrections may be made by mutual written confirmation without re-approval of the entire BOM, provided such corrections do not alter quantities, part sources, or specification compliance.
