Repurchase; Payment

On the Repurchase Date, Seller shall repurchase the Securities from Buyer at the Aggregate Repurchase Price by payment in immediately available funds to an account designated by Buyer. Payment shall be made on the Repurchase Date without set-off or withholding, except as required by applicable law.

Representations and Warranties

Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms; and (c) the execution, delivery and performance of this Agreement do not and will not violate any material agreement, law or regulation applicable to such party.

Default and Remedies

If Seller fails to repurchase the Securities on the Repurchase Date, Buyer shall have all remedies available at law or in equity, including specific performance and the right to liquidate the Securities and apply proceeds against any amounts owed by Seller. Seller shall be responsible for any costs, expenses and reasonable attorneys' fees incurred by Buyer in enforcing its rights under this Agreement.

Taxes and Withholding

Each party shall be responsible for its own taxes arising from the transactions contemplated by this Agreement. If any withholding is required by law, the party required to make the payment shall withhold the required amount and timely remit such amount to the appropriate authority and shall provide the other party with documentation of such remittance.

Notices

All notices, requests, demands and other communications under this Agreement shall be in writing and sent to the addresses set forth above or to such other address as a party notifies in writing. Notices shall be delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested.

Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws specified by the parties. The parties agree that disputes arising out of or relating to this Agreement shall be resolved in the courts having jurisdiction over the agreed venue and waive any objection to such jurisdiction.

Miscellaneous

This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior negotiations, understandings and agreements. No amendment or waiver shall be effective unless in writing and signed by both parties. This Agreement may be executed in counterparts, each of which shall be deemed an original.

The undersigned each warrants that the signatory signing on behalf of such party has been duly authorized to execute this Agreement and to bind such party to the terms and conditions herein.
