WHEREAS

WHEREAS, Company desires to provide an incentive bonus to Employee to promote performance, retention, and the achievement of specified objectives; and

WHEREAS, Employee desires to accept such bonus on the terms and conditions set forth in this Agreement and to perform the obligations necessary to earn and receive the bonus;

WHEREAS, the parties desire to set forth their understanding in a written agreement that defines bonus eligibility, payment mechanics, and related conditions.

If Company fails to timely pay a guaranteed bonus, interest shall accrue on the unpaid amount at a rate of per month, or the maximum lawful rate if lower. Employee's sole remedy for late payment shall be the amount due plus accrued interest; no punitive damages shall apply.

Termination for Cause: Company may terminate this Agreement for cause, including but not limited to willful misconduct, material breach of Company policy, or conviction of a felony. In the event of termination for cause prior to payout, Employee shall forfeit any unpaid discretionary bonus and may forfeit a prorated guaranteed bonus per the Payment Schedule.

Termination without Cause: If Employee is terminated without cause prior to the scheduled payout of a guaranteed bonus, Company shall pay any earned portion in accordance with the Payment Schedule, less lawful deductions.

CONFIDENTIALITY

Employee shall keep confidential all non-public information concerning Company’s business, clients, compensation practices, and bonus calculation methodologies learned in the course of employment. This obligation survives termination of this Agreement for a period of two (2) years, except as required by law or court order. Employee shall not disclose the amount of this bonus to third parties except to spouse, tax advisors, or as required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for any dispute shall be the state or federal courts located in that State.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the bonus described herein and supersedes all prior proposals, representations, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties.

ADDITIONAL PROVISIONS

No right or remedy conferred by this Agreement is exclusive of any other right or remedy, and the exercise of any right shall not prevent the exercise of any other. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
