BONUS PAYMENT AGREEMENT

5. Employment/Engagement Status. Recipient must be actively employed or engaged by Company on the Payment Date unless otherwise agreed in writing by an authorized officer of Company.

TAXES, WITHHOLDING AND BENEFITS

6. Taxes and Withholding. The Bonus is subject to applicable federal, state and local withholding and payroll tax deductions. Company shall withhold such amounts as required by law and shall report the Bonus on applicable tax forms.

7. Benefits Treatment. Unless expressly designated in writing, the Bonus is a discretionary cash payment and is not intended to be a component of base salary or pensionable earnings for benefit calculation unless required by Company policy or applicable law.

RECOUPMENT AND ADJUSTMENTS

8. Clawback. If Recipient is terminated for cause, resigns for reasons that breach Company policies, or is later discovered to have engaged in material misconduct or fraud related to the Bonus, Recipient shall repay the Bonus in full or such portion as Company reasonably determines. Company may deduct any required repayment from future amounts owing to Recipient to the fullest extent permitted by law.

9. Overpayments. In the event of an overpayment of the Bonus due to error, Company may recover the overpaid amount from Recipient.

CONFIDENTIALITY AND PUBLICITY

10. Confidentiality. Recipient shall keep the existence, terms and amount of the Bonus confidential, except as required by law or as necessary to obtain tax, legal or financial advice. Any permitted disclosure must be made on a confidential basis.

11. Publicity. Neither party shall issue press releases or public communications regarding the Bonus without the prior written consent of the other party, except as required by law.

MISCELLANEOUS

12. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to conflict of laws principles.

13. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the Bonus and supersedes all prior agreements and understandings, whether written or oral.

14. Amendment. This Agreement may be amended or modified only by a written instrument signed by both parties.

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or other means that provide proof of delivery and shall be effective upon receipt.
